# Contributor License Agreement **Tel-Agent — Dpro GmbH, Vienna, Austria** Thank you for your interest in contributing to Tel-Agent. This agreement must be accepted before your first contribution is merged. It is short, and it does not take your rights away — you keep full ownership of everything you write. > **Why this exists.** Tel-Agent is released under AGPL-3.0. For the project to be > able to offer a hosted edition and a commercial license alongside the open source > release, one party has to hold the right to relicense the combined work. That right > can only be granted by the contributors, and only at the time they contribute. It > cannot be obtained retroactively once a project has many authors. --- ## 1. Copyright You retain full ownership and copyright of Your Contribution. This agreement grants a license; it does not transfer ownership. You grant the Company a perpetual, worldwide, non-exclusive, royalty-free, irrevocable copyright license to reproduce, prepare derivative works of, publicly display, publicly perform, sublicense, and distribute Your Contribution and any derivative works. **This includes the right to relicense Your Contribution**, including under proprietary or commercial license terms, as part of Tel-Agent or its hosted edition. You retain the right to use Your Contribution for any other purpose, including licensing it to others under different terms. --- ## 3. Patents You grant the Company a perpetual, worldwide, non-exclusive, royalty-free, irrevocable patent license to make, have made, use, offer to sell, sell, import, and otherwise transfer Your Contribution. This license applies only to patent claims licensable by You that are necessarily infringed by Your Contribution alone or by the combination of Your Contribution with the project to which it was submitted. If any entity institutes patent litigation alleging that Your Contribution constitutes patent infringement, any patent licenses granted to that entity under this agreement terminate as of the date such litigation is filed. --- ## 4. Your representations You represent that: 1. Each Contribution is Your original creation, or You have the legal right to submit it under the terms of this agreement. 2. Your Contribution does not knowingly infringe the intellectual property rights of any third party. 3. If Your employer has rights to intellectual property that You create, You have received permission to make the Contribution on behalf of that employer, or Your employer has waived such rights. 4. If any part of Your Contribution is not Your original creation, You have identified its source, its license, and any restrictions that apply, clearly and completely. --- ## 5. No warranty Your Contribution is provided "as is", without warranty of any kind, express or implied, including but not limited to the warranties of merchantability, fitness for a particular purpose, and non-infringement. You are not expected to provide support for Your Contribution. --- ## 6. Governing law This agreement is governed by the laws of Austria, without regard to its conflict of law provisions. The courts of Vienna, Austria have exclusive jurisdiction. --- ## How to accept Open a pull request. An automated check will ask you to accept this agreement by posting a comment on that pull request. Acceptance is recorded once and applies to all of Your future contributions.
