# EvoMap Corporate Contributor License Agreement ("CCLA")

Thank you for your interest in contributing to the Genome Evolution
Protocol and the `@evomap/gep-sdk` project (the "Project") maintained
by EvoMap ("EvoMap", "we", "us"). This Corporate Contributor License
Agreement ("Agreement") clarifies the intellectual property licence
granted with Contributions from any corporation or other legal entity
(referred to throughout this Agreement as the "Corporation").

This Agreement is adapted from the Apache Software Foundation
Corporate Contributor License Agreement v2.2 and is made available
under the same permissive terms. Where this Agreement and an
applicable ASF CCLA differ, this Agreement controls for Contributions
to this Project.

The Corporation accepts and agrees to the following terms and
conditions for the Corporation's present and future Contributions
submitted to EvoMap. In return, EvoMap shall not use the Corporation's
Contributions in a way that is contrary to the public benefit of the
Project or inconsistent with this Agreement and its applicable
licences. Except for the licence granted herein to EvoMap and
recipients of software distributed by EvoMap, the Corporation reserves
all right, title, and interest in and to its Contributions.

1. **Definitions.** "Corporation" means the entity identified in the
   signature block. "Contribution" means any original work of
   authorship, including any modifications or additions to an
   existing work, that is intentionally submitted by the Corporation
   (through its designated employees or contractors) to EvoMap for
   inclusion in, or documentation of, any of the products owned or
   managed by EvoMap (the "Work").

2. **Grant of Copyright Licence.** Subject to the terms and conditions
   of this Agreement, the Corporation hereby grants to EvoMap and to
   recipients of software distributed by EvoMap a perpetual,
   worldwide, non-exclusive, no-charge, royalty-free, irrevocable
   copyright licence to reproduce, prepare derivative works of,
   publicly display, publicly perform, sublicense, and distribute the
   Corporation's Contributions and such derivative works.

3. **Grant of Patent Licence.** Subject to the terms and conditions of
   this Agreement, the Corporation hereby grants to EvoMap and to
   recipients of software distributed by EvoMap a perpetual,
   worldwide, non-exclusive, no-charge, royalty-free, irrevocable
   (except as stated in this section) patent licence to make, have
   made, use, offer to sell, sell, import, and otherwise transfer the
   Work, where such licence applies only to those patent claims
   licensable by the Corporation that are necessarily infringed by
   the Corporation's Contribution(s) alone or by combination of the
   Corporation's Contribution(s) with the Work to which such
   Contribution(s) was submitted. If any entity institutes patent
   litigation against the Corporation or any other entity (including a
   cross-claim or counterclaim in a lawsuit) alleging that the
   Corporation's Contribution, or the Work to which the Corporation
   has contributed, constitutes direct or contributory patent
   infringement, then any patent licences granted to that entity under
   this Agreement for that Contribution or Work shall terminate as of
   the date such litigation is filed.

4. **Original work.** The Corporation represents that each of its
   Contributions is its original creation. The Corporation represents
   that its Contribution submissions include complete details of any
   third-party licence or other restriction (including, but not
   limited to, related patents and trademarks) of which the
   Corporation is aware and which are associated with any part of its
   Contributions.

5. **Authority.** The Corporation represents that the person signing
   this Agreement is duly authorised to bind the Corporation to this
   Agreement, and that the Corporation has all necessary rights to
   make the grants under this Agreement.

6. **Designated employees.** The Corporation must list the
   employees and contractors authorised to submit Contributions on
   behalf of the Corporation in a separate "designated employees"
   schedule (e.g., a SCHEDULE attached to this CCLA when signed). The
   Corporation may update this list at any time by written notice to
   EvoMap.

7. **Warranty.** The Corporation is not expected to provide support
   for its Contributions, except to the extent the Corporation
   desires to provide support. The Corporation may provide support
   for free, for a fee, or not at all. Unless required by applicable
   law or agreed to in writing, the Corporation provides its
   Contributions on an "AS IS" BASIS, WITHOUT WARRANTIES OR
   CONDITIONS OF ANY KIND, either express or implied, including,
   without limitation, any warranties or conditions of TITLE,
   NON-INFRINGEMENT, MERCHANTABILITY, or FITNESS FOR A PARTICULAR
   PURPOSE.

8. **Notice.** The Corporation agrees to notify EvoMap of any facts or
   circumstances of which the Corporation becomes aware that would
   make these representations inaccurate in any respect.

To sign this Agreement, please send a completed and counter-signed
copy to `licensing@evomap.ai`. Once signed, the Corporation's
designated employees will have their Contributions auto-approved by
the CLA Assistant on this repository.
