IMPORTANT: THIS IS A PROPRIETARY COMMERCIAL LICENSE, NOT AN OPEN-SOURCE LICENSE. BY DOWNLOADING, INSTALLING, COPYING, ACCESSING, OR USING THE SDK, YOU AGREE TO THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE SDK. 1. Definitions "Licensor" means the entity that owns or is authorized to license the Fylar Office SDK and provides it through an official Fylar distribution channel, as further identified in any applicable order form or commercial agreement. "SDK" means this Fylar Office SDK package, including its source-readable, minified, binary, WebAssembly, worker, documentation, sample, and related runtime files, but excluding Third-Party Components. "Licensee" or "you" means the individual or legal entity accepting this License. "License Credential" means a key, token, account, entitlement, or other identifier issued or accepted by Licensor for the SDK. "Licensee Application" means a product or service developed by Licensee that uses the SDK as an embedded component and is not marketed or distributed as a standalone SDK or a substantially similar substitute for the SDK. "Metered Use" means one usage event that the SDK licensing service successfully accepts and records against a License Credential. The licensing service's records control the usage count, subject to correction of demonstrable errors. Rejected or unsuccessful validation requests are not Metered Uses. "Free Allowance" means an aggregate maximum of 3,000 Metered Uses for each License Credential or associated customer account, as determined by Licensor. The Free Allowance is shared across all users, devices, environments, and deployments using that credential or account. It does not renew when the SDK is reinstalled, upgraded, or used with another device, and multiple credentials may not be combined to evade the limit. 2. Limited License Grant Subject to this License, Licensor grants Licensee a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to: (a) download, install, and reproduce reasonable copies of the SDK for evaluation, development, testing, and operation of Licensee Applications; (b) use the SDK in Licensee Applications for up to the Free Allowance; and (c) distribute the unmodified SDK runtime files only as an embedded part of a Licensee Application, provided that the SDK is not offered separately and all copyright, license, attribution, and technical protection notices are retained. The Free Allowance may be used for evaluation, development, testing, or limited production operation. It has no cash value and may not be sold or transferred. All rights not expressly granted are reserved by Licensor. 3. Use After the Free Allowance When the Free Allowance is exhausted, Licensee must stop using and deploying the SDK unless Licensor has granted an active paid entitlement or another written commercial license. Paid plans, additional usage, support, service levels, and other commercial rights are governed by the applicable order form or separate written agreement. If that agreement conflicts with this License, the separate written agreement controls for its subject matter. 4. License Validation and Metering The SDK may contact Licensor's licensing service, including https://openlicense.fylar.ai, to validate a License Credential, measure Metered Uses, prevent abuse, and administer entitlements. This communication may include the License Credential and technical or usage data reasonably necessary for those purposes. Licensee is responsible for providing any notices and obtaining any consents required for its deployment and end users. Licensee must not disable, bypass, falsify, interfere with, or conceal events from license validation, metering, usage limits, or other access controls. 5. Restrictions Except where applicable law expressly prohibits a restriction, Licensee may not: (a) sell, rent, lease, lend, sublicense, publish, mirror, or redistribute the SDK as a standalone product, development kit, source package, or hosted substitute; (b) modify, translate, reverse engineer, decompile, disassemble, or otherwise attempt to derive non-source portions of the SDK, except to the limited extent necessary to integrate documented interfaces or expressly permitted by applicable law; (c) remove or alter proprietary, copyright, attribution, license, or technical protection notices; (d) use the SDK or its non-public implementation details to create, train, or improve a competing office SDK, document engine, or substantially similar product; or (e) use the SDK unlawfully or in a manner that infringes third-party rights. 6. Ownership and Feedback The SDK is licensed, not sold. Licensor and its licensors retain all right, title, and interest in the SDK. If Licensee voluntarily provides feedback, Licensee grants Licensor a perpetual, worldwide, irrevocable, royalty-free license to use and incorporate that feedback without restriction. 7. Third-Party Components Third-Party Components are licensed under their respective terms, not this License. Required notices and known license information are provided in THIRD_PARTY_NOTICES. If a third-party license conflicts with this License for a Third-Party Component, the third-party license controls for that component. 8. Updates, Support, and Availability This License does not require Licensor to provide updates, maintenance, support, compatibility, hosting, or continued availability of the SDK or its licensing service. Any such commitments must be stated in a separate written agreement. 9. Termination This License terminates automatically upon Licensee's material breach. On termination or expiration of the applicable entitlement, Licensee must stop using and distributing the SDK and remove it from Licensee Applications and systems under Licensee's control, except for copies required by law. Sections 5 through 12 survive termination to the extent applicable. 10. Disclaimer TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SDK AND LICENSING SERVICE ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, OR UNINTERRUPTED OR ERROR-FREE OPERATION. 11. Limitation of Liability TO THE MAXIMUM EXTENT PERMITTED BY LAW, LICENSOR AND ITS AFFILIATES, SUPPLIERS, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING FROM OR RELATED TO THE SDK OR THIS LICENSE, EVEN IF ADVISED OF THE POSSIBILITY. LICENSOR'S TOTAL AGGREGATE LIABILITY WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT LICENSEE PAID LICENSOR FOR THE SDK DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY OR (B) US$100. THESE LIMITATIONS APPLY ONLY TO THE EXTENT PERMITTED BY LAW. 12. General Licensee must comply with applicable export-control, sanctions, privacy, and other laws. Licensee may not assign this License without Licensor's prior written consent. If any provision is unenforceable, it will be limited to the minimum extent necessary and the remaining provisions will remain effective. Failure to enforce a provision is not a waiver. This License and any applicable written commercial agreement constitute the entire agreement regarding the SDK.
