END-USER LICENSE AGREEMENT FOR HAL ROBOTICS FRAMEWORK IMPORTANT PLEASE READ THE TERMS AND CONDITIONS OF THIS LICENSE AGREEMENT CAREFULLY BEFORE CONTINUING WITH THIS PROGRAM INSTALL This End-User License Agreement ("EULA") is a legal agreement between you (either an individual or a single entity) and HAL Robotics Ltd for the software identified above which may include associated software components, media, printed materials, and online or electronic documentation (referred to collectively as the “Software”). By installing, copying, or otherwise using the Software, you agree to be bound by the terms of this EULA. This license agreement represents the entire agreement concerning the program between you and HAL Robotics Ltd, (referred to as "licenser"), and it supersedes any prior proposal, representation, or understanding between the parties. If you do not agree to the terms of this EULA, do not install or use the Software. The Software is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. 1. GRANT OF LICENSE. The Software is licensed as follows: (a) Installation and Use. The licensor grants you the right to install and use copies of the Software on your computer running a validly licensed copy of the operating system for which it was designed. (b) Backup Copies. You may also make copies of the Software as may be necessary for backup and archival purposes. (c) Online License Checks The software may use your internal network and Internet connection for the purpose of transmitting license-related data at the time of installation, registration, use, or update to a HAL Robotics-operated license server and validating the authenticity of the license-related data in order to protect HAL Robotics Ltd against unlicensed or illegal use of the Software and to improve customer service. Activation is based on the exchange of license related data between your computer and the HAL Robotics Ltd license server. You agree that HAL Robotics Ltd may use these measures and you agree to follow any applicable requirements. You agree that efforts to circumvent or disable HAL Robotics Ltd copyright protection mechanisms or license management mechanism violate HAL Robotics Ltd’s intellectual property rights as well as the terms of this EULA. HAL Robotics Ltd expressly reserves the rights to seek all available legal and equitable remedies to prevent such actions and to recover lost profits, damages and costs. 2. DESCRIPTION OF OTHER RIGHTS AND LIMITATIONS. (a) Maintenance of Copyright Notices. You must not remove or alter any copyright notices on any and all copies of the Software. (b) Distribution. You may not distribute any copies of the Software to third parties. (c) Prohibition on Reverse Engineering, Decompilation, Disassembly and License Falsifying. You may not reverse engineer, decompile, disassemble the Software or attempt to falsify licenses to the Software. (d) Rental. You may not rent, lease, or lend the Software. (e) Support Services. HAL Robotics Ltd may provide you with support services related to the Software. Unless stipulated during your license purchase or agreed to in a subsequent contract all support is made on a voluntary basis to which no claims can be made. Any supplemental software code provided to you as part of the Support Services shall be considered part of the Software and subject to the terms and conditions of this EULA. (f) Compliance with Applicable Laws. You must comply with all applicable laws regarding use of the Software. (g) Academic licenses. All users of academic and student versions of the Software are required to limit their use of the Software to academic research and development. Academic licenses may not be used in production environments or by, for, or on behalf of professional companies. (h) Citations in academic work. All users of academic and student versions of the Software are required to mention the use of the software in all publications (scientific papers, thesis, videos, etc.) involving the Software as a simulation or programming solution. This mention must contain the name of the software – HAL Robotics Framework, and the name of the author – HAL Robotics Ltd. 3. TERMINATION Without prejudice to any other rights, HAL Robotics Ltd may terminate this EULA if you fail to comply with the terms and conditions of this EULA. In such event, you must destroy all copies of the Software in your possession. 4. COPYRIGHT All title, including but not limited to copyrights, in and to the Software and any copies thereof are owned by HAL Robotics Ltd. All title and intellectual property rights in and to the content which may be accessed through use of the Software is the property of the respective content owner and may be protected by applicable copyright or other intellectual property laws and treaties. This EULA grants you no rights to use such content. All rights not expressly granted are reserved by HAL Robotics Ltd. 5. FUNCTIONALITY OF THE SOFTWARE While every effort has been made to minimize bugs and ensure the functionality of the Software, HAL Robotics Ltd cannot and will not guarantee the functionality of the Software. YOU ARE HEREBY WARNED THAT THE SOFTWARE CAN CONTAIN BUGS AND MAY EVEN CAUSE DATA LOSS. Notwithstanding any support for any technical standard, the software is not intended for use in or in connection with, without limitation, the operation of nuclear facilities, aircraft navigation, communication systems, air traffic control equipment, medical devices or life support systems, medical or health care applications, or other applications where the failure of the software or errors in data processing could lead to death, personal injury or severe physical or environmental damage. You agree that you are solely responsible for the accuracy and adequacy of the software and any data generated or processed by the software for your intended use and you will defend, indemnify and hold HAL Robotics Ltd, its officers and employees harmless from any 3rd party claims, demands, or suits that are based upon the accuracy and adequacy of the software in your use or any data generated by the software in your use. HAL Robotics Ltd expressly disclaims any warranty for the Software. The Software is provided 'As Is' without any express or implied warranty of any kind, including but not limited to any warranties of merchantability, non-infringement, or fitness of a particular purpose. HAL Robotics Ltd does not warrant or assume responsibility for the accuracy or completeness of any information, text, graphics, links or other items contained within the Software. HAL Robotics Ltd makes no warranties respecting any harm that may be caused by the transmission of a computer virus, worm, time bomb, logic bomb, or other such computer program. HAL Robotics Ltd further expressly disclaims any warranty or representation to Authorized Users or to any third party. 7. LIMITATION OF LIABILITY In no event shall HAL Robotics Ltd be liable for any damages (including, without limitation, lost profits, business interruption, or lost information) rising out of users use of or inability to use the Software, even if HAL Robotics Ltd has been advised of the possibility of such damages. In no event will HAL Robotics Ltd be liable for loss of data or for indirect, special, incidental, consequential (including lost profit), or other damages based in contract, tort or otherwise. HAL Robotics Ltd shall have no liability with respect to the content of the Software or any part thereof, including but not limited to errors or omissions contained therein, libel, infringements of rights of publicity, privacy, trademark rights, business interruption, personal injury, loss of privacy, moral rights or the disclosure of confidential information. 8. JURISDICTION This EULA will be governed by and construed in accordance with the laws of the United Kingdom (excluding its conflict of laws principles and the U.N. Convention on Contracts for the International Sale of Goods) and you expressly agree that exclusive jurisdiction for any claim or dispute with HAL Robotics Ltd or relating in any way to your use of the Software resides in the Commercial Court of London, United Kingdom and you further agree and expressly consent to the exercise of personal jurisdiction in the Commercial Court of London, United Kingdom in connection with any such dispute or claim. 9. THIRD PARTY EXTENSIONS Any and all extensions to the Software, also referred to as plugins, provided by third parties are licensed to you by their authors.
