--- name: acquisition-deal-check description: Work through a small business acquisition with the Duneland Financial tools when a user describes a business they want to buy, or asks about the loan, the down payment, the seller note, SDE, the debt service coverage ratio or SBA 7(a) eligibility on one. --- Use this workflow when the user is buying, selling or advising on a small business and wants to know whether the financing works. ## Steps 1. Collect the purchase price and the seller's stated earnings. Ask for them if the user has not given them. Treat earnings as SDE or EBITDA as the user labels it; do not convert. 2. If the user supplies a profit and loss with add-backs, call `normalize_sde_valuation` first. Use its conservative SDE as the earnings for the next step. 3. Call `check_deal_affordability` with the price, the earnings, and any equity share, salary, capex, loan rate, term or seller note the user gave. Leave the rest at the defaults. 4. Read the result. Report the senior loan, the cash flow for debt service, the total annual service, the DSCR and the band. Say whether the DSCR clears 1.25 and 1.50. Repeat every note the tool returns. 5. If the user asks how the whole purchase gets funded, or has working capital, closing costs or a fixed senior amount, call `build_capital_stack`. 6. If the user asks about one tranche, call `model_acquisition_loan` or `model_seller_note` for that tranche only. 7. If the user asks whether an SBA loan is an option, call `screen_sba_eligibility` with only the answers the user actually gave. Do not guess an answer. Report each constraint and each review item. ## Reporting - Give amounts in US dollars and ratios to two decimals, as the tool returns them. - Include the disclaimer line the tool returns. Do not shorten it. - Include the `calculatorUrl` so the user can continue on the site. Explain that only supported inputs are prefilled; other inputs may need to be re-entered. - Do not say the deal is approved, bankable, or eligible. The tools are illustrative. The SBA screen can return "potential-fit", which is not an eligibility finding; say so. - Do not quote interest rates, fees or closing timelines as Duneland's terms. The rate inputs are the user's assumptions. ## Do not - Do not invent a multiple for the valuation. Ask the user for a low and a high multiple, or report the SDE without a value range. - Do not run the SBA screen with answers the user did not give. - Do not collect the user's name, contact details or Social Security number. The tools do not need them.
