Review parties, purpose, confidential-information scope, exclusions, use and disclosure restrictions, compelled disclosure, security, return or destruction, term and survival, residuals, remedies, restrictive covenants, IP, data protection, governing law, venue, assignment, and signatures.

- Green: standard and low-risk within stated assumptions.
- Yellow: negotiable deviations or missing information requiring review.
- Red: material exposure, prohibited terms, or provisions requiring escalation.
