# OXR Open Source License Copyright (c) 2026 Shanghai Shoukou Technology Co., Ltd. (上海守扣科技有限公司) "Licensor" means 上海守扣科技有限公司 (Shanghai Shoukou Technology Co., Ltd.). OXR is licensed under the Apache License, Version 2.0, subject to the additional terms below. These additional terms take precedence in the event of a conflict; otherwise, Apache License 2.0 applies. ## 1. Thresholds and Commercial License You may use OXR and its Derivative Works without a separate commercial license, including for internal use and to Provide products or services to Third Parties, whether free or paid, unless either of the following applies to you and your Affiliates, on a consolidated basis: (a) Total Funding exceeds USD 2,000,000; or (b) Annual Revenue exceeds USD 2,000,000. If either of the above applies, you must obtain a separate written commercial license from Licensor before commencing or continuing any use of OXR or its Derivative Works, whether internal use or Providing products or services to Third Parties, and whether free or paid. Personal use and non-commercial research, including academic research, benchmarking, evaluation, and teaching, are exempt from this Section. ## 2. Attribution If you use OXR or its Derivative Works to Provide products or services to Third Parties without a separate commercial license under Section 1, you must prominently display "Powered by SoMark OXR", linked to https://github.com/SoMarkAI/OXR , in the user interface of the relevant product or service. If the product or service has no user interface, you must display this statement and link in its publicly accessible documentation, about page, or API documentation, or, if none of these exists, in the deliverables or service agreement provided to the Third Party. Where a hyperlink cannot be used, you must display the full URL. ## 3. Termination Your rights under this License terminate automatically, without notice from Licensor, if you fail to obtain a commercial license as required by Section 1 or fail to comply with Section 2. ## 4. Definitions and Scope "Affiliates" are entities that directly or indirectly control you, are controlled by you, or share common control with you. "Control" means the power to direct an entity's management or operations through ownership, voting rights, contractual rights, or other means. "Provide to Third Parties" (and "Providing to Third Parties") means making available to any person or entity other than you and your Affiliates ("Third Parties") any product or service that incorporates or uses OXR, its Derivative Works, or any functionality based on them, by any means, whether online or offline, including (i) hosted or remote access, such as SaaS, API, or web services; (ii) distribution of copies, such as software, SDKs, applications, or devices, or deployment on a customer's own servers; and (iii) performing services for Third Parties using OXR or its Derivative Works, including document parsing, data processing, data labeling, outsourcing, or consulting services, or delivering outputs or results generated by OXR, whether or not any product is delivered. Use solely by you and your Affiliates, including by employees and contractors acting on your behalf, is internal use and is not Providing to Third Parties. "Total Funding" means the total equity or debt funding raised from any source by you and your Affiliates, on a consolidated basis, excluding intra-group transactions to avoid double counting. "Annual Revenue" means the gross revenue of you and your Affiliates for the most recently completed fiscal year, on a consolidated basis, excluding intra-group transactions to avoid double counting. Amounts in other currencies are measured at their US dollar equivalent. "Derivative Works" has the meaning given in Apache License 2.0. When redistributing OXR or its Derivative Works, you must include these additional terms together with Apache License 2.0. Third-party components separately identified as being under other licenses remain governed by those licenses. If you have entered into a separate written agreement with Licensor regarding OXR, that agreement prevails over this License to the extent of any conflict.
