### 第1条（総則）

本エンドユーザー使用許諾契約書（以下「本契約」）は、Takeshi Arai（以下「権利者」）が提供するソフトウェア「Sumifold」（以下「本ソフトウェア」）の使用に関して、権利者とお客様との間で締結される契約です。お客様は、本ソフトウェアをインストール、複製、または使用することにより、本契約のすべての条項に同意したものとみなされます。同意いただけない場合、本ソフトウェアをインストールまたは使用しないでください。

### 第2条（ライセンスの許諾）

権利者は、お客様に対し、本契約の条件に従い、本ソフトウェアを個人的または社内業務の目的で使用する、非独占的かつ譲渡不能な権利を許諾します。本ソフトウェアの著作権その他一切の知的財産権は権利者に帰属し、本契約はお客様にこれらの権利を移転するものではありません（All Rights Reserved）。

### 第3条（ベータ版であることの確認）

本ソフトウェアはバージョン 0.9.0 系の**公開ベータ版**であり、**コード署名がされていません**。インストール時に Microsoft Defender SmartScreen 等の警告が表示される場合があります。お客様は、本ソフトウェアが開発途上にあり、不具合・データ損失・予期しない動作を含みうることを理解の上で使用するものとします。

### 第4条（禁止事項）

お客様は、以下の行為を行ってはなりません。

1. 本ソフトウェアのリバースエンジニアリング、逆コンパイル、逆アセンブル（適用法令により明示的に許容される範囲を除く）
2. 本ソフトウェアの再配布、再使用許諾、貸与、または販売（権利者の事前の書面による許可がある場合を除く）
3. 著作権表示その他の権利表示の削除または改変
4. 適用法令に違反する態様での使用

### 第5条（無保証 / AS-IS）

本ソフトウェアは「**現状有姿（AS-IS）**」で提供されます。権利者は、明示黙示を問わず、商品性、特定目的への適合性、第三者の権利非侵害を含むいかなる保証も行いません。本ソフトウェアの品質および性能に関する一切のリスクはお客様が負担します。

### 第6条（責任の制限）

適用法令が許容する最大限の範囲において、権利者は、本ソフトウェアの使用または使用不能から生じる一切の損害（データの損失、逸失利益、事業の中断を含むがこれらに限られない）について、契約責任、不法行為責任その他の法理にかかわらず、一切の責任を負いません。

### 第7条（更新機能）

本ソフトウェアは、起動時およびお客様の操作時に、新しいバージョンの有無を GitHub に対して照会する更新確認機能を備えています。更新の取得およびインストールは、お客様の明示的な承認を経てのみ実行されます。詳細はプライバシーポリシー（PRIVACY.md）を参照してください。

### 第8条（契約の終了）

お客様が本契約のいずれかの条項に違反した場合、本契約に基づくライセンスは自動的に終了します。終了後、お客様は本ソフトウェアの使用を中止し、すべての複製を破棄するものとします。

### 第9条（準拠法および管轄）

本契約は**日本法**に準拠し、これに従って解釈されます。本契約に関連して生じる一切の紛争については、権利者の住所地を管轄する日本の裁判所を第一審の専属的合意管轄裁判所とします。

### 1. General

This End-User License Agreement (the "Agreement") is a legal agreement between Takeshi Arai (the "Licensor") and you regarding the use of the software "Sumifold" (the "Software"). By installing, copying, or using the Software, you agree to be bound by all terms of this Agreement. If you do not agree, do not install or use the Software.

### 2. Grant of License

Subject to the terms of this Agreement, the Licensor grants you a non-exclusive, non-transferable right to use the Software for personal or internal business purposes. All copyright and other intellectual property rights in the Software remain with the Licensor; this Agreement does not transfer any such rights to you (All Rights Reserved).

### 3. Beta Notice

The Software is a **public beta** in the 0.9.0 line and is **not code-signed**. Warnings from Microsoft Defender SmartScreen or similar may appear during installation. You acknowledge that the Software is under development and may contain defects, may cause data loss, and may behave unexpectedly.

### 4. Restrictions

You may not:

1. reverse engineer, decompile, or disassemble the Software (except to the extent expressly permitted by applicable law);
2. redistribute, sublicense, rent, lease, or sell the Software (except with the Licensor's prior written permission);
3. remove or alter any copyright or other proprietary notices; or
4. use the Software in any manner that violates applicable law.

### 5. No Warranty (AS-IS)

THE SOFTWARE IS PROVIDED "**AS-IS**", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. THE ENTIRE RISK AS TO QUALITY AND PERFORMANCE OF THE SOFTWARE IS WITH YOU.

### 6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE LICENSOR SHALL NOT BE LIABLE FOR ANY DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, LOSS OF DATA, LOSS OF PROFITS, OR BUSINESS INTERRUPTION) ARISING OUT OF THE USE OF OR INABILITY TO USE THE SOFTWARE, WHETHER IN CONTRACT, TORT, OR OTHERWISE.

### 7. Update Feature

The Software includes an update-check feature that queries GitHub for the availability of new versions at startup and upon your request. Downloading and installing an update is performed only with your explicit approval. See the Privacy Policy (PRIVACY.md) for details.

### 8. Termination

This license terminates automatically if you breach any term of this Agreement. Upon termination, you must cease all use of the Software and destroy all copies.

### 9. Governing Law and Jurisdiction

This Agreement is governed by and construed in accordance with the **laws of Japan**. Any dispute arising in connection with this Agreement shall be subject to the exclusive jurisdiction of the Japanese court having jurisdiction over the Licensor's place of residence as the court of first instance.
