# **Agroverse Community Distributors Agreement**

This Distributors Agreement ("Agreement") is entered into on \_\_\_\_\_\_\_\_\_\_\_\_\_\_\_\_\_\_\_\_ ("Effective Date") by and between:

**TrueTech Inc, acting as legal representative of the TrueSight DAO community ("Consignor")**

**WHEREAS**, the Consignor, on behalf of TrueSight DAO, owns Agroverse regenerative cacao products ("Products") as listed in Schedule A;

**WHEREAS**, the Community Distributor is engaged in selling and marketing products at the above address;

**WHEREAS**, the Consignor, acting for TrueSight DAO, appoints the Consignee as a non-exclusive agent for the sale of Products under the terms below.

**NOW, THEREFORE**, the parties agree as follows:

**Article 1: Definitions**

1.1 **Products**: Agroverse regenerative cacao products listed in Schedule A.

1.2 **TDG**: TrueSight DAO governance token for voting rights.

1.3 **Community Distributor**: A Consignee or Brand Representative appointed to sell or distribute Products under this Agreement.

1.4 **Consignor**: TrueTech Inc, acting as legal representative of the TrueSight DAO community.

## **Article 2: Appointment and Authority**

2.1 The Consignee selects one consignment option by checking one box below:

* \[     \] **Option B**: Consignment (2–25kg), sell at recommended retail price, return cost price, keep commission (difference).

TDG is the governance token of [TrueSight DAO](https://truesight.me), the community that operates the project. TDG grants voting rights to its holders for community decisions.

* \[    \] **Option D**: Brand Representation, receive up to 2kg of Products solely to secure bulk purchase agreements (*minimum 5kg, shipped from Consignor’s community managed warehouse*) from manufacturers or resellers for the DAO. Buyers purchase at cost price (*Schedule A*). 

  Earns $100 TDG per verified hour spent and $1 USD equivalent in $TDG for verified expenses ([*claims submitted via our Telegram channel*](https://t.me/TrueSightDAO)). Restocking of demo samples (*up to 2kg per deal cycle, maximum 8kg per year*) is provided only after closing at least one bulk purchase agreement (*minimum 5kg, verified by signed contract and payment receipt by the DAO*).

2.2 The  Community Distributor may sell Products at the address specified above.

## **Article 3: Terms and Conditions**

3.1 **Pricing**: Per Schedule A. Community Distributors may set retail prices but are encouraged to follow recommended prices. Community Distributor covers all marketing and sales costs unless otherwise specified.

3.2 **Option A**: Community Distributor pays cost price upfront. Consignee covers all marketing and sales costs unless otherwise specified. Consignee covers all marketing and sales costs unless otherwise specified.

3.3 **Option B**: Community Distributor returns cost price per unit sold; retains commission.Consignee covers all marketing and sales costs unless otherwise specified.

3.4 **Option C**: Community Distributor returns full retail price per unit sold; earns $100 TDG/hour for verified contributions. Consignee claims $TDG for all marketing and sales costs incurred at a rate of $1 TDG / USD expensed.

3.5 **Option D**: Brand Representative is responsible for pitching to manufacturers or resellers and coordinating with Consignor to finalize bulk purchase agreements (*minimum 5kg, shipped from Consignor’s community managed warehouse*). Initial demo samples (*up to 2kg per Brand Representative*) are provided at no cost but must be used solely for securing bulk deals. Restocking of demo samples (*up to 2kg per deal cycle, maximum 8kg per year*) is provided only after the Brand Representative has successfully closed at least one bulk purchase agreement (minimum 5kg, verified by signed contract and payment receipt by the DAO). 

Brand representatives must report inventory level changes (*e.g., samples used, remaining, or lost*) monthly or upon deal completion via a standardized form provided by the Consignor; failure to report may disqualify restocking eligibility. Brand Representative earns $100 TDG per verified hour spent and $1 USD equivalent in $TDG for verified expenses ([*claims submitted via our Telegram channel*](https://t.me/TrueSightDAO)). Brand Representative fronts all demo-related costs, with verified expenses  and gets reimbursed in $TDG. Rewards are issued by the DAO on the nearest Solstice or Equinox following deal completion and payment receipt.

## **Article 4: Delivery and Storage**

4.1 Consignor delivers Products to the Community Distributor’s specified address.

4.2 Community Distributor stores Products securely and is liable for loss or damage.

## **Article 5: Payment and Accounting**

5.1 Community Distributor ensures payment collection and verifies customer payment before release.

5.2 Community Distributor provides monthly sales reports (units sold, inventory remaining).

5.3 Payments (cost price or full retail per option) due within 30 days of sale.

## **Article 6: Funds Transfer Instructions**

6.1 Community Distributor shall transfer funds from Product sales to the Consignor’s DAO treasury using the following methods:

## **Article 7: Termination**

6.1 Either party may terminate with 30 days’ written notice.  
6.2 Upon termination, Community Distributor returns all unsold Products.

## **Article 8: Governing Law**

8.1 Governed by Delaware, USA law. Disputes resolved in Delaware courts.

## **Schedule B: Consignment Options**

* **Option D**: Brand Representative receives up to 2kg demo samples to secure bulk purchase agreements (*minimum 5kg, shipped from Consignor’s community managed warehouse*) from manufacturers or resellers. Buyers purchase at cost price (Schedule A). Demo samples must be used only for bulk deals. 

  Restocking (*up to 2kg per deal cycle, max 8kg/year*) requires closing one bulk deal (*minimum 5kg, verified by contract and payment*). Brand Representative reports inventory changes monthly or upon deal completion via Consignor’s form; non-compliance may disqualify restocking.
