# COMMUNITY WAREHOUSE MANAGER SERVICE LEVEL  AGREEMENT

This Contract Agreement ("Agreement") is entered into on \[DATE\] ("Effective Date") by and between:

## PURPOSE AND SCOPE

TTI and CWM agree to collaborate on TrueSight DAO’s decentralized warehouse fulfillment services.

## COMPENSATION

CWM will receive 160 TDG governance tokens per month for providing warehousing facilities.

## RESPONSIBILITIES

### CWM RESPONSIBILITIES

1. Respond to inbound shipment notices within 2 business days and arrange pickup from the indicated pickup location. 

2. Prior to inventory pickup, to reference conversation threads in our community discussions that are specific to the inbound shipment so as to ascertain inventory figure to be conducting inventory counts for. Ensure all communications with are conducted via dedicated conversation thread so as to create a single point of reference.

3. Conduct inventory counts immediately upon receiving inventory items and report to TTI within 2 business days for ledger updating.

4. Respond to shipment notices and ship out within 2 business days once the following recipient details have been made available  
   1. Full Name  
   2. Taxation ID  
   3. Address  
   4. Phone Number

5. Ensure shipments for exports are between 2 \- 25kg per box.

6. Include printed copies of DU/E and FDA Prior Notice Documents (for USA-bound commercial shipments) in the package.

7. Use Carreios as the default carrier for Brazil shipments (cheapest tier).

8. When utilizing Carreois, ensure the correct pricing tier is selected, plug in the dimensions and weight to this website and ensure the pricing is for *Exporta Fácil Standard* as opposed to express

9. Use FedEx e-commerce package tier for liquid shipments. 

   1. Determine weight and dimensions of package   
   2. Determine rate of pricing via Fedex website [https://www.fedex.com/en-us/online/rating.html](https://www.fedex.com/en-us/online/rating.html),   
   3. Do a screenshot of the rates provided by the website  
   4. Surface this on Agroverse Guild channel to ensure the correct package and corresponding price is selected  
   5. Proceed to Fedex office for shipping with a screenshot of the select package and rates

10. Utilize USPS Flat Rate tier for shipping within the USA.

### TTI RESPONSIBILITIES

1. Provide technical support and development.  
2. Facilitate collaboration via TrueSight DAO.  
3. Conduct regular audits of inventory under management.  
4. Update and maintain accurate ledger records for inventory under management.  
5. Facilitate reimbursement of shipping costs incurred by CWM during the regular discharge of responsibilities.  
6. Act as legal representative for TrueSight DAO ecosystem participant in Delaware Jurisdiction if disputes arises with CWM

## SHIPPING COST REIMBURSEMENT

TTI will facilitate reimbursement of shipping costs incurred by CWM during the regular discharge of responsibilities.

## PENALTIES

Delay exceeding 4 business days will incur a 50% penalty on monthly TDG compensation, paid into TTI's vault.

## TERMINATION

If CWM terminates, TTI will provide details of the new warehouse location. CWM must freight remaining inventory to the new location at their own expense.

## AUDIT AND LIABILITY

At least once a year, an audit will be conducted by a representative of TTI. In case of inventory discrepancies during audits, CWM is liable for the full retail price of missing inventory in USD or equivalent fiat.

## Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware.

## DISPUTE RESOLUTION

Disputes arising from this Agreement shall be resolved through the following process:

### Initial Dispute Resolution (2 business days)

1. In the event of a dispute, the parties shall attempt to resolve the issue amicably through negotiations.  
2. The parties shall provide all necessary information and documentation to facilitate resolution.

### Escalation to Litigation (5 business days)

1. If the dispute cannot be resolved within 2 business days, the parties shall escalate the matter to litigation.  
2. The dispute shall be resolved through the courts of the State of Delaware.  
3. Judgments shall be enforced in the jurisdiction where CWM resides.

### Representation

In litigation against CWM, TrueTech Inc. shall represent TrueSight DAO's interests.

### Costs and Fees

The parties shall bear their own costs and fees associated with dispute resolution, unless otherwise determined by the court.

### Time Limits

The parties shall comply with all applicable statutes of limitations and time limits for dispute resolution.

### Transparency

All dispute resolution proceedings, including negotiations and litigation, shall be made publicly available to all TDG token holders through:

1. Regular updates on the TrueSight DAO platform.  
2. Access to relevant documentation and correspondence.  
3. Transparency reports detailing dispute resolution progress.

### Clarification

TrueTech Inc. represents TrueSight DAO exclusively in CWM-related litigation.

## Jurisdiction

The parties consent to the exclusive jurisdiction of the courts of the State of Delaware for any disputes arising from this Agreement.

## Additional Terms

TrueTech Inc.'s role as legal representative is limited to disputes against CWM.

## ENTIRE AGREEMENT

This Agreement constitutes the entire understanding.

## AMENDMENTS

This Agreement may not be amended except in writing acknowledged by both parties.
