# VortX Individual Contributor License Agreement

## Why this exists (plain English)

This agreement lets the VortX project accept your contribution and keep its
licensing options open, including the freedom to license the project under
different terms in the future. You keep the copyright in everything you write.
You are simply granting the project a broad, lasting licence to use your
contribution, not signing your copyright away.

This is not legal advice, and it is a plain-language summary only. The terms
below are what actually govern.

## Agreement

Thank you for your interest in the VortX project (the "Project"). This
Contributor License Agreement ("Agreement") sets out the terms under which You
contribute to the Project. It is for Your protection as a contributor as well as
the protection of the Project and its users. It does not change Your rights to
use Your own Contributions for any other purpose.

By signing this Agreement, You accept and agree to the following terms for Your
present and future Contributions submitted to the Project. Except for the
licences granted in this Agreement to the Project and to recipients of software
distributed by the Project, You reserve all right, title, and interest in and to
Your Contributions.

### 1. Definitions

"You" (or "Your") means the individual who owns the copyright in the
Contribution and who is entering into this Agreement with the Project.

"Contribution" means any original work of authorship, including any
modifications or additions to an existing work, that is intentionally submitted
by You to the Project for inclusion in, or documentation of, any of the products
or projects owned or managed by the Project (the "Work"). For the purposes of
this definition, "submitted" means any form of electronic, verbal, or written
communication sent to the Project or its maintainers, including but not limited
to communication on electronic mailing lists, source code control systems, and
issue tracking systems that are managed by, or on behalf of, the Project for the
purpose of discussing and improving the Work, but excluding communication that
is conspicuously marked or otherwise designated in writing by You as "Not a
Contribution".

"the Project" means the VortX project, acting through its maintainers, together
with the maintainers and any successor maintainers who administer the Work on
the Project's behalf.

### 2. Grant of copyright licence

Subject to the terms and conditions of this Agreement, You hereby grant to the
Project and to recipients of software distributed by the Project a perpetual,
worldwide, non-exclusive, royalty-free, irrevocable copyright licence to
reproduce, prepare derivative works of, publicly display, publicly perform,
sublicense, and distribute Your Contributions and such derivative works.

This grant expressly includes the right for the Project to license and
relicense Your Contribution, and derivative works of it, under any terms the
Project chooses, including terms that differ from the Project's then-current
licence, and to sublicense these rights through multiple tiers of
sublicensees. You retain the right to use, license, and exploit Your
Contribution for any other purpose.

### 3. Grant of patent licence

Subject to the terms and conditions of this Agreement, You hereby grant to the
Project and to recipients of software distributed by the Project a perpetual,
worldwide, non-exclusive, royalty-free, irrevocable (except as stated in this
section) patent licence to make, have made, use, offer to sell, sell, import,
and otherwise transfer the Work. This licence applies only to those patent
claims licensable by You that are necessarily infringed by Your Contribution
alone or by combination of Your Contribution with the Work to which You
submitted it.

If any entity institutes patent litigation against You or any other entity
(including a cross-claim or counterclaim in a lawsuit) alleging that Your
Contribution, or the Work to which You contributed, constitutes direct or
contributory patent infringement, then any patent licences granted to that
entity under this Agreement for that Contribution or Work shall terminate as of
the date such litigation is filed.

### 4. You retain Your copyright

This Agreement does not transfer, assign, or convey ownership of the copyright in
Your Contribution. You retain all right, title, and interest in and to the
copyright in Your Contribution. The Project receives only the licences expressly
granted above.

### 5. Your representations

You represent and agree that:

- Each of Your Contributions is Your original creation. You represent that You
  are legally entitled to grant the licences in this Agreement, and that if Your
  employer has rights to intellectual property that You create, You have
  received permission to make the Contributions on behalf of that employer, or
  that Your employer has waived such rights for Your Contributions to the
  Project.
- You will flag anything in Your Contribution of which You are aware that is
  associated with a third-party licence or other restriction (including related
  patents, trademarks, and licence agreements) by noting it clearly in the
  Contribution itself and in any accompanying description.
- Should You wish to submit work that is not Your original creation, You may
  submit it to the Project separately from any Contribution, identifying the
  complete details of its source and of any licence or other restriction
  (including related patents, trademarks, and licence agreements) of which You
  are aware, and conspicuously marking the work as "Submitted on behalf of a
  third-party: [named here]".

### 6. No warranty

Unless required by applicable law or agreed to in writing, You provide Your
Contributions on an "AS IS" basis, without warranties or conditions of any kind,
either express or implied, including, without limitation, any warranties or
conditions of title, non-infringement, merchantability, or fitness for a
particular purpose.

### 7. Notice

You agree to notify the Project of any facts or circumstances of which You become
aware that would make these representations inaccurate in any respect.

## Signature

By signing below, You accept and agree to the terms of this Individual
Contributor License Agreement for Your present and future Contributions to the
Project.
