This license is not an open-source license as defined by the OSI, and it is not a permissive open-source license. The source code is made available for learning, research, evaluation, and other noncommercial purposes. Definitions 1.1 "Software" includes, without limitation, the source code, object code, build scripts, database schema, APIs, documentation, examples, pages, images, icons, logos, names, trademarks, service marks, interaction designs, deployment files, configuration files, prompts, model configurations, business workflows, and other related materials of Wukong AICRM. 1.2 "Software Marks" include, without limitation, copyright notices, trademark notices, product names, logos, links, interface marks, deployment marks, and other identifiers related to Kakarote, Wukong, Wukong CRM, Wukong AICRM, 悟空 CRM, or 悟空 AICRM. 1.3 "You" means the individual, company, organization, or other legal entity that downloads, copies, installs, runs, accesses, deploys, modifies, or otherwise uses the Software. 1.4 "Your Company" means any company, organization, sole proprietorship, partnership, affiliate, or other legal entity that you work for, serve, represent, control, are controlled by, or are under common control with. 1.5 "Use" means any action requiring authorization, including downloading, copying, installing, running, accessing, deploying, modifying, compiling, testing, displaying, distributing, providing services, integrating, hosting, sublicensing, or creating derivative works. 1.6 "Noncommercial Purpose" means personal learning, research, experimentation, testing, evaluation, teaching, public-interest research, or non-production technical verification without any direct or indirect commercial benefit. Noncommercial Purpose does not include enterprise daily operations, external services, customer project delivery, or any direct or indirect commercial gain. 1.7 "Commercial Use" includes, without limitation, use for enterprise or organizational internal management, production deployment, customer project delivery, resale or delivery after secondary development, profit-oriented use, providing services to third parties, integration into paid products or services, providing SaaS / PaaS / hosted / multi-tenant / cloud services based on the Software, external distribution of modified or derivative versions, paid deployment, implementation, training, operation, maintenance, consulting, technical support, or any other activity generating direct or indirect commercial benefit. 1.8 "Competitive Use" means using the Software, source code, modified versions, derivative versions, designs, architecture, interfaces, documentation, APIs, models, prompts, business workflows, or other materials to develop, sell, deliver, operate, or support products or services that substitute for, compete with, or are substantially similar to existing or planned products or services of Kakarote, Wukong CRM, or Wukong AICRM. Competitive Use includes, without limitation, CRM, AI CRM, sales management, customer management, customer success management, sales automation, sales intelligence, enterprise knowledge base, intelligent workspace, related SaaS / PaaS / hosted / multi-tenant / cloud services, and commercial solutions around those capabilities. 2. Grant of Rights 2.1 Subject to your compliance with all terms of this license, Kakarote grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, run, read, test, and evaluate the Software for Noncommercial Purposes. 2.2 You may make necessary modifications to the source code for Noncommercial Purposes, but those modifications may only be used by you for learning, research, testing, or evaluation, and may not be published, distributed, sold, delivered, or used for any Commercial Use. 2.3 You may deploy the Software on personal devices or in non-production test environments for learning, research, evaluation, and technical verification. Any production deployment, enterprise internal operational use, customer project use, or external service is Commercial Use and requires written commercial authorization from Kakarote. 2.4 This license does not grant any trademark, trade name, logo, brand asset, domain name, official website, community account, goodwill, or other brand rights. 2.5 Except for the limited rights expressly granted in this license, Kakarote reserves all copyrights, software copyrights, trademarks, patents, trade secrets, and other lawful rights and interests in and to the Software and related materials. 3. Prohibited Conduct 3.1 You may not use the Software for any Commercial Use without prior written commercial authorization from Kakarote. 3.2 You may not use the Software, source code, modified versions, derivative versions, or any component of the Software for any Competitive Use without prior written permission from Kakarote. 3.3 You may not develop, publish, distribute, sell, or deliver any derivative version, modified version, third-party version, compatible version, cloud service version, hosted service version, or SaaS platform based on the Software or any part of it without prior written permission from Kakarote. 3.4 You may not remove, modify, hide, obscure, or weaken Software Marks, copyright notices, trademark notices, product identifiers, links, or rights notices in source code, documentation, interfaces, deployment files, or runtime output. 3.5 You may not bypass, remove, disable, damage, or circumvent technical measures used for authorization, authentication, statistics, security, copyright notices, or commercial license verification. 3.6 You may not use the Software or any part of it to infringe lawful rights of others, violate laws or regulations, harm network security, damage data security, evade regulation, engage in unlawful activities, or damage Kakarote's reputation. 3.7 You may not claim ownership of the Software's copyrights, trademarks, or other intellectual property rights, register software copyrights, trademarks, patents, or other rights for the Software or derivative works, or create confusion about your relationship with Kakarote. 3.8 You may not transfer, rent, lend, sublicense, pledge, share, or otherwise provide the rights under this license to any third party, nor allow any third party to use the Software under your name. 4. Commercial Authorization, Cloud Services, Plugin and Agent Marketplace 4.1 Enterprise editions, commercial official releases, official commercial support, private deployment services, enterprise SLA, and advanced governance, security, compliance, permissions, audit, multi-tenancy, data isolation, enterprise Agent orchestration, and advanced Workflow capabilities are governed by separate commercial authorization terms. 4.2 Wukong Cloud, online subscriptions, managed databases, managed vector stores, hosted Agents, model gateway, automatic upgrades, backup and recovery, monitoring, alerts, and enterprise support are governed by separate cloud terms, privacy policy, and data processing agreement. 4.3 Plugins, Agents, templates, connectors, marketplace distribution, revenue sharing, security review, data permissions, takedown process, and liability boundaries are governed by separate marketplace developer agreements, Agent publishing policies, and revenue sharing terms. 4.4 If you need Commercial Use, production deployment, enterprise internal use, customer project delivery, SaaS / hosted services, commercial derivative products, or plugin or Agent marketplace cooperation, you must contact Kakarote in advance and obtain express written commercial authorization or sign an additional agreement. 5. Brand and Trademarks 5.1 Wukong, Wukong CRM, Wukong AICRM, 悟空 CRM, 悟空 AICRM, related logos, icons, interface marks, product names, domains, and brand assets are legally protected. 5.2 Without prior written permission from Kakarote, you may not use those marks to publish, promote, sell, deliver, or operate products or services, or imply official authorization, partnership, agency, certification, or endorsement by Kakarote. 5.3 You may not use names such as Wukong Cloud, Official Wukong CRM, Official Wukong AICRM, or any confusingly similar names, marks, domains, accounts, or promotional materials. 5.4 You may describe the source of the Software in a reasonable manner, but you may not create brand confusion or weaken, damage, or exploit the goodwill of Kakarote or Wukong AICRM. 6. Third-Party Components 6.1 The Software may contain or depend on third-party open-source components, third-party services, or third-party software. Those third-party materials are governed by their respective licenses, terms of service, or authorization rules. 6.2 You are responsible for complying with the relevant licenses and compliance requirements of third-party components or services. Third-party component licenses do not mean that Kakarote grants the same license to the Software as a whole. 7. Patent and Rights Claims 7.1 If you or Your Company make any written claim that the Software or any component of it infringes or contributes to infringement of any patent, the relevant rights granted to you under this license terminate immediately as of the date of that claim. 7.2 This license does not prevent Kakarote from granting other licenses or commercial authorizations to any third party. 8. Disclaimer 8.1 The Software is provided on an "as is" and "as available" basis. Except as required by law, Kakarote makes no express, implied, or statutory warranties, including warranties of merchantability, fitness for a particular purpose, accuracy, completeness, security, stability, uninterrupted operation, error-free operation, vulnerability-free operation, or non-infringement. 8.2 You use the Software voluntarily and must understand and assume the risks arising from such use. Unless you purchase product technical services or commercial authorization, Kakarote does not promise any technical support, maintenance, upgrades, availability guarantee, compatibility guarantee, or use guarantee to free users. 8.3 To the maximum extent permitted by law, Kakarote is not liable for any direct, indirect, incidental, special, punitive, or consequential damages arising from downloading, installing, deploying, running, modifying, using, or being unable to use the Software, including data loss, business interruption, loss of profits, loss of goodwill, system failure, or third-party claims. 8.4 You are responsible for data security, privacy protection, account permissions, backup and recovery, network security, compliance review, and third-party component compliance involved in your use of the Software. Any legal liability arising from your use, deployment, configuration, modification, or operation of the Software is borne by you. 9. Breach and Termination 9.1 If you violate any term of this license, Kakarote may immediately terminate your authorization without further notice. 9.2 Upon termination, you must immediately stop downloading, installing, running, accessing, deploying, modifying, distributing, or using the Software, and delete all copies, modified versions, and derivative works in your possession or control. 9.3 Termination does not affect Kakarote's right to pursue liability for breach, infringement, or other legal responsibility. 10. Updates 10.1 Kakarote may update this license based on product development, business strategy, legal and regulatory changes, or compliance requirements. 10.2 Updated terms become effective when published through the official website, code repository, product page, or other reasonable means. Your continued use of the Software after an update means you accept the updated terms. 11. Governing Law and Dispute Resolution 11.1 This license is governed by the laws of the People's Republic of China, excluding conflict-of-law rules. 11.2 Any dispute arising from this license or the Software shall first be resolved through friendly negotiation. If negotiation fails, either party may bring a lawsuit before the competent people's court where Kakarote is domiciled. 12. Miscellaneous 12.1 If any term of this license is held invalid, illegal, or unenforceable, the validity of the remaining terms is not affected. 12.2 For matters not covered by this license, you may contact Kakarote to sign an additional agreement for more flexible authorization. 12.3 The Chinese version of this license is the official version. The English version is for reference only. In case of inconsistency between the Chinese and English versions, the Chinese version prevails.
