Definitions "Additional Use Grant" means the additional rights (if any) granted in the Parameters section above. If the Additional Use Grant reads "None," no additional rights are granted beyond those in Section 2. "Change Date" means the date specified in the Parameters section above for the applicable version of the Licensed Work. "Change License" means the license identified in the Parameters section above. "Derivative Work" means any work that is based on, incorporates, or is a modification of the Licensed Work. "Non-Production Use" means use that is not directed toward a Production Deployment. Non-Production Use includes, without limitation, personal study, internal research and development, educational use, testing, prototyping, and use in development or staging environments that are not accessible to end users. "Production Deployment" means any of the following: (a) deploying, verifying, or causing to be deployed any smart contract or other executable code that includes, is compiled from, or is a Derivative Work of, the Licensed Work on any blockchain, distributed-ledger, or comparable network accessible by third parties; (b) operating or making available to third parties any software service, product, or system that incorporates the Licensed Work or a Derivative Work; or (c) any other use of the Licensed Work or a Derivative Work to process transactions, relay value, or provide services to third parties. "Separate Deployment Agreement" means a written agreement between you and the Licensor (or its authorized representative) that expressly grants you the right to make a Production Deployment of the Licensed Work or a Derivative Work, subject to the terms and conditions set forth therein. ----------------------------------------------------------------------------- 2. Grant of Rights — Non-Production Use Subject to the terms of this License, the Licensor grants you a worldwide, non-exclusive, royalty-free, non-transferable, non-sublicensable license to copy, modify, create Derivative Works of, and redistribute the Licensed Work, solely for Non-Production Use. ----------------------------------------------------------------------------- 3. Additional Use Grant The Licensor may specify an Additional Use Grant in the Parameters section above, permitting limited use of the Licensed Work beyond the Non-Production Use rights granted in Section 2. Any such grant is subject to the conditions and limitations stated in the Parameters section. Production Deployment You may not make a Production Deployment of the Licensed Work or any Derivative Work unless you have entered into a Separate Deployment Agreement with the Licensor. Any Production Deployment made without a Separate Deployment Agreement is a material breach of this License. The terms of any Separate Deployment Agreement (including, without limitation, obligations relating to protocol upgrades, fee mechanisms, operational requirements, and termination) are negotiated independently and are not governed by this License. ----------------------------------------------------------------------------- 5. Change Date Conversion Effective on the Change Date for a given version of the Licensed Work, the Licensor hereby grants you rights to that version under the terms of the Change License. On and after the Change Date, the Change License governs your use of that version, and the restrictions in Sections 4 and 6 of this License no longer apply to that version. This License applies separately for each version of the Licensed Work. The Change Date may vary for each version released by the Licensor. The conversion of one version under this Section does not affect the terms applicable to any other version. Restrictions Except as expressly permitted by Sections 2, 3, 4, and 5, you may not (and may not permit or enable others to): (a) make a Production Deployment of the Licensed Work or any Derivative Work; (b) use the Licensed Work or any Derivative Work in connection with any product or service offered to third parties, including any as-a-service, protocol-as-a-service, or infrastructure offering; (c) sublicense, sell, lease, or otherwise transfer the Licensed Work or any rights granted under this License to any third party, except that you may redistribute the Licensed Work and Derivative Works for Non-Production Use in accordance with Section 2; or (d) remove or alter any copyright, license, or attribution notices contained in the Licensed Work. ----------------------------------------------------------------------------- 7. Third-Party Components Portions of the Licensed Work may include or depend upon third-party components distributed under their own license terms. Those components remain governed by their respective licenses. Termination (a) Any use of the Licensed Work in violation of this License will automatically and immediately terminate your rights under this License. (b) Upon termination, you must cease all use of the Licensed Work and destroy all copies in your possession or control.
