License text copyright (c) 2024 MariaDB plc, All Rights Reserved. "Business Source License" is a trademark of MariaDB plc. Parameters Licensor: EventCatalog Ltd, a company registered in England and Wales (company number 15764703). Licensed Work: EventCatalog version 5.0 or later, including pre-releases, as published by the Licensor in this repository and as the npm package @eventcatalog/core, other than any file, directory or package that states it is licensed under a different license. The following are licensed under the MIT License and are not part of the Licensed Work: packages/sdk, packages/cli, packages/connectors, packages/diff, packages/linter, packages/visualiser, packages/breaking-changes, packages/create-eventcatalog and the examples directory. The Licensed Work is (c) 2026 EventCatalog Ltd. Additional Use Grant: You may make Production use of the Licensed Work if You qualify for Free Use and Your use is not a Hosted Offering. Sections 1 to 7 below form part of this grant. Capitalised terms are defined in section 6. 1. Free Use You qualify for "Free Use" if You are: (a) an individual using the Licensed Work for Your own personal purposes, and not for or on behalf of any Organisation (including Your employer or Your own business); (b) an Organisation whose Annual Revenue is less than USD 10,000,000 (ten million US dollars) and whose Total Funding is less than USD 10,000,000; (c) a person or Organisation using the Licensed Work solely to document a Public Open Source Project; (d) a school, college or university recognised by the education authorities of its country, using the Licensed Work solely for teaching or academic research, and not for its administrative or commercial operations; or (e) an Organisation in its Evaluation Period. 2. Growing past the thresholds An Organisation that qualifies for Free Use under 1(b) continues to qualify until ninety (90) days after the first of the following to happen: (a) the end of the first financial year in which its Annual Revenue reaches USD 10,000,000; or (b) the date on which its Total Funding reaches USD 10,000,000; or (c) the date on which a change in its Affiliates (for example an acquisition) takes it over either threshold. 3. Working for clients If You use the Licensed Work for a client's benefit (for example as a consultant, contractor, agency or software vendor), including building, customising, hosting or distributing the Licensed Work or a catalog built with it for that client, Your use for that client is permitted if the client qualifies for Free Use or holds a Commercial License covering that use. You may rely on a client's written statement of its status unless You know it is wrong. Your own use of the Licensed Work for Your own systems is judged on Your own status. 4. Coming into compliance (a) If You stop qualifying for Free Use (for example because Your Evaluation Period ends), or You become aware (including by notice from the Licensor) that Your Production use is not permitted by this grant, You may continue that use for thirty (30) days (the "Cure Period") in order to obtain a Commercial License or stop that use. Use during the Cure Period is permitted Production use, is not a violation of this License, and Your rights under this License do not terminate during the Cure Period for that reason. One Cure Period applies to each such event; stopping and later resuming substantially the same use does not create a new one. (b) Production use that was not permitted, but that You made before You knew or reasonably ought to have known that it was not permitted, is treated as permitted Production use if You obtain a Commercial License or stop that use within the Cure Period. (c) For a Hosted Offering, the Cure Period is available only once, starts only on notice from the Licensor, and section 4(b) does not apply. 5. Guidance and Commercial Licenses The Licensor publishes guidance on this License at https://www.eventcatalog.dev/license-faq. The guidance is for information only. It does not form part of this License and does not change it. If the guidance and this License differ, this License applies. A Commercial License or other written permission from the Licensor may permit uses not covered by this grant. A Commercial License held by a vendor or distributor does not cover its customers' Production use unless it expressly says so. 6. Definitions "You" means the individual or Organisation exercising rights under this License, and has the same meaning as "you" in the Terms below. "Organisation" means any company, partnership, sole trader, trust, government or public body, or other entity or undertaking, together with all of its Affiliates. A government or public body is treated as an Organisation at the level of the individual body (for example a ministry, department, agency, local authority or health trust), not the wider government of which it forms part. "Affiliate" means any entity that controls, is controlled by, or is under common control with another, where "control" means owning more than fifty percent (50%) of the voting interests or otherwise having the power to direct its management and policies. Two entities are not Affiliates of each other solely because both are owned or controlled by (i) a government or public body, or (ii) an investment fund or other financial investor that does not include them in its own consolidated financial statements. "Annual Revenue" means the total gross revenue (or, for a business such as a bank or insurer that does not report revenue in that form, the nearest equivalent measure of its total income) of the whole Organisation for its most recently completed financial year, taken from consolidated financial statements where they exist and otherwise by adding together the figures for each member. For a government or public body, charity or non-profit organisation, it means the greater of its total income (including grants and donations) and its total annual budget for that year. An Organisation that has not completed a financial year uses its reasonably projected figure for its first year. Amounts in other currencies are converted to US dollars at the average exchange rate for that year from a recognised published source. "Total Funding" means the total amount of equity investment, and of convertible or other investment intended to convert into equity (such as convertible notes or SAFEs), that the whole Organisation has received from investors outside the Organisation since it was formed, measured at the amounts invested. It does not include revenue, government or charitable grants, or loans and other debt. "Production use" means any use of the Licensed Work other than (i) trying it out with sample, test or throwaway content that no one relies on, or (ii) developing, testing or contributing to the Licensed Work itself. It includes running a catalog built with the Licensed Work that an Organisation's employees, contractors or automated systems (including AI agents) use or rely on to document, discover, understand or govern its software systems, whether that catalog is available internally, privately or publicly, and using the Licensed Work in continuous integration or deployment pipelines to build, update or validate such a catalog. Use is Production use if it meets this definition, whatever the catalog, environment or project is called (including "evaluation", "pilot", "proof of concept" or "internal"). "Evaluation Period" means the sixty (60) days starting on the date an Organisation first makes Production use of any version of the Licensed Work, or any longer period the Licensor agrees in writing. Each Organisation, including all of its Affiliates, has one Evaluation Period in total across all versions of the Licensed Work. Upgrading, reinstalling, creating another catalog, or a change in the Organisation's Affiliates does not start a new Evaluation Period. If two Organisations that have each started an Evaluation Period become Affiliates, the earlier period applies to the combined Organisation. "Public Open Source Project" means a software project whose source code is publicly available under a license approved by the Open Source Initiative, where the catalog documents only that project's software and not the systems of an Organisation. "Hosted Offering" means using the Licensed Work to give third parties access to the Licensed Work, or to a catalog built with it, as a hosted, managed or multi-tenant service, whether or not for a fee, and whether offered on its own or as part of another product. Members of Your Organisation are not third parties. The following are not Hosted Offerings: (a) publishing a catalog that documents Your own software systems, including making it publicly accessible to Your customers, partners or the public; (b) hosting a catalog for a specific client under section 3 as part of services You provide to that client, where the catalog documents that client's software systems and You do not offer hosting of the Licensed Work as a standardised or self-service product; and (c) hosting, without charge, catalogs that document only Public Open Source Projects. "Commercial License" means a written license from the Licensor, including one accepted online, permitting Production use beyond this grant. 7. Everything else All other Production use requires a Commercial License. Nothing in this grant limits the rights granted in the Terms below, including the right to copy, modify, redistribute and make non-production use of the Licensed Work. The content of Your own catalog (the documentation, schemas, diagrams and configuration You create) is Yours and is not part of the Licensed Work. Change Date: Four years after the first public release (including any pre-release) in the same release series as the Licensed Work. A "release series" is every release that shares the same major and minor release number, including its pre-releases and patch releases: for example, 5.1 includes 5.1.0-beta.1, 5.1.0 and 5.1.3, and they all share one Change Date. Unreleased builds, such as individual commits or nightly builds, belong to the next release series to be released. Change License: MIT For information about commercial licensing of the Licensed Work, please contact hello@eventcatalog.dev. Portions of the Licensed Work were previously released under the MIT License. Those prior releases remain available under the MIT License, and their copyright and permission notices are preserved in NOTICE. However, the Licensed Work will eventually be made available under an Open Source License, as stated in this License. Business Source License 1.1 Terms The Licensor hereby grants you the right to copy, modify, create derivative works, redistribute, and make non-production use of the Licensed Work. The Licensor may make an Additional Use Grant, above, permitting limited production use. Effective on the Change Date, or the fourth anniversary of the first publicly available distribution of a specific version of the Licensed Work under this License, whichever comes first, the Licensor hereby grants you rights under the terms of the Change License, and the rights granted in the paragraph above terminate. If your use of the Licensed Work does not comply with the requirements currently in effect as described in this License, you must purchase a commercial license from the Licensor, its affiliated entities, or authorized resellers, or you must refrain from using the Licensed Work. All copies of the original and modified Licensed Work, and derivative works of the Licensed Work, are subject to this License. This License applies separately for each version of the Licensed Work and the Change Date may vary for each version of the Licensed Work released by Licensor. You must conspicuously display this License on each original or modified copy of the Licensed Work. If you receive the Licensed Work in original or modified form from a third party, the terms and conditions set forth in this License apply to your use of that work. Covenants of Licensor In consideration of the right to use this License's text and the "Business Source License" name and trademark, Licensor covenants to MariaDB, and to all other recipients of the licensed work to be provided by Licensor: 1. To specify as the Change License the GPL Version 2.0 or any later version, or a license that is compatible with GPL Version 2.0 or a later version, where "compatible" means that software provided under the Change License can be included in a program with software provided under GPL Version 2.0 or a later version. Licensor may specify additional Change Licenses without limitation. 2. To either: (a) specify an additional grant of rights to use that does not impose any additional restriction on the right granted in this License, as the Additional Use Grant; or (b) insert the text "None". 3. To specify a Change Date. 4. Not to modify this License in any other way.
