PROPRIETARY SOFTWARE LICENSE AGREEMENT

IMPORTANT - READ CAREFULLY: This License Agreement ("Agreement") is a legal agreement between you (either an individual or a single entity) and FreightOps Pro for the software product identified above, which includes computer software and associated media and printed materials, and may include online or electronic documentation ("Software").

BY INSTALLING, COPYING, OR OTHERWISE USING THE SOFTWARE, YOU AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO THE TERMS OF THIS AGREEMENT, DO NOT INSTALL OR USE THE SOFTWARE.

1. COPYRIGHT AND OWNERSHIP
   The Software is owned by FreightOps Pro and is protected by United States copyright laws and international treaty provisions. FreightOps Pro retains all rights, title, and interest in and to the Software, including all copyrights, patents, trade secrets, trademarks, and other intellectual property rights therein.

2. GRANT OF LICENSE
   This Agreement does NOT grant you any rights to use the Software. All rights are expressly reserved by FreightOps Pro.

3. RESTRICTIONS
   You may NOT:
   a) Copy, modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works based on the Software
   b) Rent, lease, loan, sublicense, distribute, or transfer the Software to any third party
   c) Remove or alter any copyright, trademark, or other proprietary notices from the Software
   d) Use the Software for any commercial purpose without express written permission from FreightOps Pro
   e) Access or use the Software except as expressly authorized by FreightOps Pro
   f) Extract, reuse, or repurpose any code, algorithms, or methods from the Software
   g) Use the Software to develop competing products or services

4. CONFIDENTIALITY
   The Software contains valuable trade secrets and proprietary information of FreightOps Pro. You agree to maintain the confidentiality of the Software and not to disclose it to any third party without the prior written consent of FreightOps Pro.

5. NO WARRANTIES
   THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

6. LIMITATION OF LIABILITY
   IN NO EVENT SHALL FREIGHTOPS PRO BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR ANY OTHER PECUNIARY LOSS) ARISING OUT OF THE USE OF OR INABILITY TO USE THE SOFTWARE.

7. TERMINATION
   This Agreement is effective until terminated. FreightOps Pro may terminate this Agreement immediately without notice if you fail to comply with any term of this Agreement. Upon termination, you must destroy all copies of the Software in your possession.

8. GOVERNING LAW
   This Agreement shall be governed by and construed in accordance with the laws of the United States of America, without regard to its conflicts of law principles.

9. ENTIRE AGREEMENT
   This Agreement constitutes the entire agreement between you and FreightOps Pro relating to the Software and supersedes all prior or contemporaneous understandings regarding such subject matter.
