The Service FuXi is a **local terminal AI coding agent**. It provides intelligent code assistance, multi-provider model routing, and task automation. It is delivered as a single static binary and runs on your own machine. --- ## 2. Accounts - **A FuXi account is required to use FuXi.** You register and sign in via `fuxi login` (or `fuxi setup-token` for headless/CI use). - You are responsible for: keeping your account credentials confidential, supervising and controlling access to your account, all activity under your account, and reporting any unauthorised use promptly. - You must provide accurate registration information and meet the age requirements in §3. --- ## 3. Age requirements FuXi is aimed at developers and professional users and is **not directed at children under 14**. Users aged **14–17** may use FuXi only with the involvement of a parent or guardian, who must consent where the law requires it and is responsible for the minor's use. See the [Usage Policy](USAGE_POLICY.md). --- ## 4. Acceptable use You agree to use FuXi only for lawful purposes and in accordance with all applicable laws and regulations. You must not use the Service to do any of the things listed in the [Usage Policy](USAGE_POLICY.md) — including unlawful activity, harm to children, attacks, unauthorised access, privacy violations, fraud, or circumvention of the safety mechanisms. --- ## 5. Usage restrictions You must not: - reverse engineer, decompile, or disassemble the Service, except to the extent permitted by law; - rent, lease, lend, sell, sublicense, transfer, or distribute the Service; - remove, alter, or obscure any proprietary notices in the Service; - use the Service to send spam or unsolicited messages; - circumvent or attempt to circumvent the Service's security measures; - exceed or abuse any rate limit or usage quota of the Service's APIs, and you must keep your API keys confidential. --- ## 6. Intellectual property - **FuXi's rights**: FuXi and its licensors retain all right, title, and interest in the Service, including all intellectual property. These Terms do not grant you any right to use FuXi's trademarks, logos, or brand features. - **Your content**: you retain all rights to the content you create or upload through the Service. You are responsible for ensuring you have the right to use any code and data you process with FuXi. - **Feedback**: if you send us feedback or suggestions, we may use them to improve the Service without obligation or payment to you. --- ## 7. Privacy and data - Our [Privacy Policy](PRIVACY_POLICY.md) explains what data we process and how. - **FuXi runs primarily on your local device.** By default, FuXi does not collect, store, or retain your code or conversations; with your own key, content goes directly to the provider you choose; with FuXi-managed models it is transmitted only to serve that request. Conversation content is sent to FuXi only if you explicitly enable `send_conversations` (off by default). - Some features communicate with our servers (for example account authentication and update checks), and FuXi may process limited technical and usage information. Third-party services FuXi can connect to third-party model providers, MCP servers, plugins, and other external APIs that you configure. Their terms and privacy policies apply to those interactions. We are not responsible for third-party services you choose to connect. --- ## 9. Disclaimers **The Service is provided "as is" and "as available."** To the maximum extent permitted by law, FuXi makes no warranties, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. **AI-generated content.** FuXi uses AI to generate code suggestions and content. You understand and agree that: - AI-generated content may be inaccurate, incomplete, or wrong; - you are responsible for reviewing and testing all generated code before use; - FuXi is not liable for the accuracy, reliability, or suitability of AI-generated content; - you bear full responsibility for the consequences of using it. **No guarantee.** FuXi does not warrant that the Service will be uninterrupted, timely, secure, or error-free, that it will meet your requirements, or that any defect will be corrected. --- ## 10. Limitation of liability To the maximum extent permitted by applicable law: - FuXi is not liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, business interruption, or damage to goodwill; - FuXi's total liability for any direct damages arising from these Terms will not exceed the amount you paid for the Service that gave rise to the claim in the 12 months before the damage occurred (if any). --- ## 11. Availability and changes - FuXi may modify, suspend, or discontinue the Service (or any part of it), with or without notice. - Features may change as the product evolves; we aim to keep this document set accurate and honest, and we publish the current state here rather than promising what is not shipped. --- ## 12. Termination - **By you**: you may stop using the Service at any time. - **By FuXi**: we may suspend or terminate your access if you breach any part of these Terms or the [Usage Policy](USAGE_POLICY.md). - **Effect**: on termination your right to use the Service ends immediately. Terms relating to ownership, disclaimers, limitation of liability, and dispute resolution survive termination. --- ## 13. Governing law and disputes - **Governing law**: these Terms are governed by the laws of the People's Republic of China, without regard to conflict-of-law rules. - **Disputes**: any dispute arising from or relating to these Terms should first be resolved through friendly negotiation. If negotiation fails, either party may submit the dispute to the competent people's court where FuXi is located. --- ## 14. General - **Entire agreement**: these Terms, together with the Usage Policy and Privacy Policy, constitute the entire agreement between you and FuXi regarding the Service, and supersede any prior or contemporaneous agreements. - **Severability**: if any part of these Terms is held invalid or unenforceable, that part will be enforced to the maximum extent permitted, and the rest stays in full force. - **No waiver**: FuXi's failure or delay in exercising any right does not waive that right. - **Changes**: we may revise these Terms; we will notify you before the revised Terms take effect, and continued use after that date means you accept them. --- ## 15.
