# OpenBot Contributor Assignment Agreement Version: 1.0 Date: 2026-10-16 This agreement is between you and Synthetify Labs spółka z ograniczoną odpowiedzialnością ("Synthetify Labs", "we", "us"). It applies to each Contribution that you give to the Project. Read all of it before you sign. If you do not agree, do not send a Contribution. ## 1. Definitions - **You** are the person who signs this agreement. - **Project** is OpenBot and all other software, documentation and material that Synthetify Labs owns or manages, including the repository `github.com/nightly-labs/openbot`. - **Contribution** is each work that you send to the Project in any form, including source code, object code, documentation, translations, images, designs, tests and text in pull requests, commits, patches, issues and comments. A Contribution includes work that you sent before the date that you sign this agreement. A Contribution does not include material that you mark in writing as "Not a Contribution" when you send it. - **Copyright** is all economic rights in a work under the copyright law of each country, including rights in computer programs and databases and all related rights. ## 2. Assignment of Copyright 1. You assign to Synthetify Labs all Copyright in each Contribution, worldwide, for the full term of protection. You get no payment for this assignment. 2. The assignment includes all fields of exploitation that are known on the date that you sign, specifically: 1. Fixing and reproduction by all techniques, including print, magnetic, optical and digital techniques, in source code and object code. 2. Loading into computer memory, running, showing, transmission and storage. 3. Translation, adaptation, arrangement, modification and all other changes, and combination with other works. 4. Distribution of the original or copies, including sale, lending and rental. 5. Making available to the public so that each person can get access at a place and a time that the person selects, including on the internet and as a hosted service. 6. Public performance, display, broadcasting and rebroadcasting. 7. Grant of licences and sublicences on all terms, including commercial, proprietary, closed source and open source terms. 3. You also transfer to Synthetify Labs the exclusive right to permit the exercise of derivative rights in each Contribution. 4. Ownership of each Contribution goes to Synthetify Labs when you send it, or when you sign this agreement for a Contribution that you sent before. 5. At our request and cost, you will sign the documents that are necessary to confirm or record the assignment, including a document in written form if a law requires it. ## 3. Licence if the assignment is not valid If a part of the assignment in section 2 is not valid or not enforceable for a Contribution, for example because a law requires a different form, you grant to Synthetify Labs for that part a perpetual, irrevocable, worldwide, royalty-free and transferable licence to do all the things in section 2, with the right to grant sublicences through many tiers. The licence is exclusive where the law permits it. Otherwise, it is non-exclusive. ## 4. Moral rights 1. To the extent that the law permits, you waive all moral rights in each Contribution. 2. Where the law does not permit a waiver, you agree not to exercise your moral rights against Synthetify Labs, its licensees, its successors and the persons who get the Project from them. You permit Synthetify Labs to exercise these rights for you. Specifically, Synthetify Labs can decide when to publish each Contribution for the first time, can change it without your approval, can publish it with or without your name, and can supervise how it is used. ## 5. Patent licence You grant to Synthetify Labs, and to each person who gets software from Synthetify Labs, a perpetual, irrevocable, worldwide, non-exclusive, royalty-free patent licence to make, have made, use, sell, offer to sell, import and transfer each Contribution, alone or in combination with the Project. This licence covers each patent claim that you can license and that the Contribution, alone or in combination with the Project, would infringe. ## 6. No rights stay with you 1. You keep no right or licence to your Contributions, except the rights that the public licence of the Project gives to all persons. 2. Synthetify Labs can use, license, sell, change, publish or not use each Contribution on all terms that it selects, including commercial and closed source terms. 3. Synthetify Labs does not have to pay you, name you or use your Contribution. ## 7. Your statements You state that: 1. Each Contribution is your original work. If a Contribution includes material from a different person, you identify the material, its source and its licence when you send it. 2. You have the right to make this agreement. If an employer, a client or a different person has rights in your work, that person gave you written permission to make this agreement or waived those rights. 3. You do not know of a claim that a Contribution infringes the rights of a different person. 4. You are old enough to make a binding agreement where you live. 5. You will tell Synthetify Labs at licenses@openbot.run if one of these statements becomes incorrect. If you make Contributions for an organization, and the organization owns your work, the organization must also sign an agreement. Write to licenses@openbot.run. ## 8. No warranty Except for the statements in section 7, you give each Contribution "as is", without warranty of any kind. ## 9. Law and courts Polish law applies to this agreement. The courts that have jurisdiction for the registered office of Synthetify Labs decide all disputes about it. This section does not remove the protection that the mandatory law of your country gives you. ## 10. How to sign 1.
