Change Date: 2028-03-22 Change License: Apache License, Version 2.0 ### Terms #### Acceptance In order to get any license under these Terms, you must agree to them as both strict obligations and conditions to all your licenses. #### Copyright License The Licensor grants you a non-exclusive, royalty-free, worldwide, non-sublicensable, non-transferable license to use, copy, distribute, make available, and prepare derivative works of the Licensed Work, in each case subject to the limitations and conditions of these Terms. #### Change License On the Change Date, or the fourth anniversary of the first publicly available distribution of a specific version of the Licensed Work under these Terms, whichever comes first, the Licensor hereby grants you rights under the terms of the Change License, and the rights granted under these Terms for that specific version terminate. #### Use Limitation **Competition Restriction:** You may not make production use of the Licensed Work, or any derivative work of it, in any way that competes with the Licensed Work. "Compete" means providing a product or service to third parties that is substantially similar to the Licensed Work or any derivative work of it. **Revenue Threshold:** If your organization's total annual revenue exceeds CHF 1,000,000 (one million Swiss Francs), you must obtain a commercial license from the Licensor to use the Licensed Work in production environments. Revenue is measured as the total gross revenue of your organization (including all subsidiaries and affiliates) in the most recently completed fiscal year. For the avoidance of doubt, the following activities are **always permitted** regardless of revenue: - Evaluating, testing, and experimenting with the Licensed Work - Using the Licensed Work in development and staging environments - Using the Licensed Work for educational and research purposes - Using the Licensed Work for personal, non-commercial projects - Building and deploying applications that integrate with the Licensed Work via its published APIs and SDK (subject to the revenue threshold above) - Modifying the Licensed Work for evaluation and testing purposes - Contributing improvements back to the Licensed Work The following activities are **permitted for organizations under the revenue threshold** (CHF 1,000,000 annual revenue): - Using the Licensed Work for internal business operations - Self-hosting the Licensed Work for your own organization's use - Using the Licensed Work in production commercial environments The following activities are **never permitted** regardless of revenue: - Offering a hosted or managed version of the Licensed Work as a service to third parties (this requires a separate partnership agreement) - Providing a product or service that substitutes for the Licensed Work, incorporating the Licensed Work or a derivative work of it - Removing or altering this license notice from the Licensed Work **Commercial Licensing:** Organizations exceeding the revenue threshold that wish to use the Licensed Work in production should contact hello@sidclaw.com for commercial licensing terms. #### Patent License The Licensor grants you a non-exclusive, royalty-free, worldwide, non-sublicensable, non-transferable license under any patents the Licensor can license, or becomes able to license, to make, have made, use, sell, offer for sale, import, and have imported the Licensed Work, in each case subject to the limitations and conditions of these Terms. This license does not cover any patent claims that you cause to be infringed by modifications or additions to the Licensed Work. If you or your company make any written claim that the Licensed Work (or any portion of it) infringes or contributes to the infringement of any patent, your patent license for the Licensed Work granted under these Terms ends immediately. If your company makes such a claim, your patent license ends immediately for work on behalf of your company. #### Fair Use Any rights expressly granted in these Terms do not limit any right you may have under the fair use, fair dealing, or other applicable provisions of copyright law. #### No Other Rights These Terms do not imply any licenses other than those expressly granted in these Terms. #### Conditions Your license is conditional on complying with these Terms. If you fail to comply, your license ends immediately. #### No Liability ***As far as the law allows, the Licensed Work comes as is, without any warranty or condition, and the Licensor will not be liable to you for any damages arising out of these Terms or the use or nature of the Licensed Work, under any kind of legal claim.*** #### Definitions The **Licensed Work** is the copyrightable work made available under these Terms. The **Licensor** is the entity offering these Terms. **You** refers to the individual or entity agreeing to these Terms. **Your company** is any legal entity, sole proprietorship, or other kind of organization that you work for, plus all organizations that have control over, are under the control of, or are under common control with that organization. **Control** means ownership of substantially all the assets of an entity, or the power to direct its management and policies by vote, contract, or otherwise. Control can be direct or indirect. **Your licenses** are all the licenses granted to you for the Licensed Work under these Terms. **Use** means anything you do with the Licensed Work requiring one of your licenses. **Derivative work** means a work based on the Licensed Work or any portion of it, such as a translation, adaptation, arrangement, or other alteration, or a work that otherwise incorporates a significant portion of the Licensed Work.
