Parameters License Version 1.0 This Parameters License ("License") constitutes a binding legal agreement between the individual or entity making the creative work available under this License ("Author" or "Creator") and You ("Licensee") concerning the creative work, including but not limited to any associated documents, data, designs, software, reports, analyses, or other materials provided herewith (collectively, the "Work"). BY ACCESSING, DOWNLOADING, COPYING, OR OTHERWISE USING THE WORK, YOU ARE AGREEING TO BE BOUND BY ALL TERMS AND CONDITIONS OF THIS LICENSE. Definitions 1.1. **"Author" / "Creator"** refers to the original copyright holder(s) of the Work who are granting this License. 1.2. **"Licensee"** refers to You, the individual or entity exercising permissions granted by this License. 1.3. **"Work"** refers to the creative work(s) and any accompanying materials, in any form or medium, provided by the Author under the terms of this License. 1.4. **"Business Assessment and Evaluation Purposes"** means the internal review, critical analysis, and internal assessment of the Work by Licensee solely for the purpose of understanding its content, methodologies, findings, or potential applicability to Licensee’s internal business strategies, internal operations, or internal educational understanding. This purpose explicitly excludes any External Commercialization or Modification. 1.5. **"External Commercialization"** means any use of the Work, or any part thereof, for direct or indirect financial compensation, or in any manner intended to promote, advertise, or generate business for Licensee or any third party, or to imply a Business Relationship Association not separately agreed upon. 1.6. **"Modification"** refers to any alteration, adaptation, translation, abridgment, summarization, expansion, transformation of the Work, or the creation of any derivative work based upon or incorporating the Work or any part thereof. 1.7. **"Commercial Branding"** refers to the affixing, embedding, or associating of any logos, trademarks, service marks, trade names, or other proprietary business identifiers of Licensee or any third party with or to the Work. 1.8. **"Business Relationship Association"** refers to any statement, action, or representation that states, implies, suggests, or could reasonably lead a third party to believe that there is an endorsement, sponsorship, partnership, affiliation, or any other formal or informal business relationship between Author and Licensee (or any third party associated with Licensee) with respect to the Work or otherwise, beyond the permissions granted in this License. 1.9. **"Commercial Use Agreement"** refers to a separate, written, and duly executed agreement between Author and Licensee (or an authorized third party) explicitly permitting uses beyond those granted in this License, including but not limited to Modification or uses involving Commercial Branding or Business Relationship Association. 2. Grant of License 2.1. Subject to strict compliance with all terms and conditions of this License, Author hereby grants Licensee a limited, non-exclusive, non-transferable, non-sublicensable, revocable, royalty-free license to access and use the Work solely for Business Assessment and Evaluation Purposes. 2.2. All rights not expressly granted to Licensee in this License are reserved by the Author. 3. Restrictions on Use 3.1. **No Modification:** Licensee shall not engage in any Modification of the Work. Any desire or need to make any Modification to the Work is strictly prohibited unless and until explicit, prior written permission has been obtained directly from the Author. For the avoidance of doubt, the mere act of internally viewing, reading, or analyzing the Work as provided does not constitute Modification. 3.2. **Prohibition on Unauthorized Commercial Branding and Business Relationship Association:** Licensee is expressly prohibited from: a) Applying or incorporating any Commercial Branding to or with the Work for any purpose; and/or b) Using the Work in any manner, or making any public or external statement regarding the Work, that results in or is intended to result in a Business Relationship Association for the purpose of promoting or furthering the business interests of Licensee, Licensee’s employer, or any entity Licensee represents as an agent or otherwise. 3.3. **Requirement for Commercial Use Agreement:** Any use of the Work for purposes involving Modification, Commercial Branding, or the establishment or promotion of a Business Relationship Association as described herein is strictly prohibited unless a Commercial Use Agreement has been negotiated and executed between Author and the relevant party (Licensee or its principal). 4. Intellectual Property Ownership 4.1. Licensee acknowledges that the Author is the sole and exclusive owner of all right, title, and interest in and to the Work, including all copyright, trademark, trade secret, and other intellectual property rights embodied therein or associated therewith. This License does not convey to Licensee any ownership interest in the Work, but only the limited right of use as set forth herein. 5. Disclaimer of Warranties 5.1. THE WORK IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, OR NON-INFRINGEMENT OF THIRD-PARTY RIGHTS. AUTHOR MAKES NO WARRANTY THAT THE WORK WILL BE ERROR-FREE, UNINTERRUPTED, OR SECURE. LICENSEE ASSUMES ALL RISKS ASSOCIATED WITH THE USE OF THE WORK. 6. Limitation of Liability 6.1. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AUTHOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES) ARISING OUT OF OR RELATING TO THIS LICENSE OR THE USE OF OR INABILITY TO USE THE WORK, EVEN IF AUTHOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. This License is effective upon Licensee's first use of the Work and shall continue in effect unless terminated as set forth herein. 7.2. This License shall terminate automatically and immediately, without notice from Author, if Licensee breaches any term or condition of this License. 7.3. Upon termination for any reason, Licensee must immediately cease all use of the Work and destroy all copies (full or partial, in any medium) of the Work in Licensee's possession, custody, or control. 7.4. Provisions that by their nature should survive termination (including, without limitation, provisions regarding intellectual property ownership, disclaimers of warranties, limitations of liability, and governing law) shall survive termination. 8. Governing Law and Jurisdiction 8.1. This License shall be governed by and construed in accordance with the laws of the State of California, United States of America, without regard to its conflict of law provisions. 8.2. Any legal action or proceeding arising under or relating to this License shall be brought exclusively in the federal or state courts located in Orange County, California, and the parties irrevocably consent to the personal jurisdiction and venue therein. 9. General Provisions 9.1. **Entire Agreement:** This License constitutes the entire agreement between Author and Licensee with respect to the Work and supersedes all prior or contemporaneous understandings, agreements, communications, representations, and warranties, whether oral or written. 9.2. **Severability:** If any provision of this License is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be modified by the court and interpreted so as best to accomplish the objectives of the original provision to the fullest extent permitted by law, and the remaining provisions of this License shall remain in full force and effect. 9.3. **No Waiver:** Any failure by Author to enforce any right or provision of this License will not constitute a waiver of future enforcement of that right or provision or any other right or provision. 9.4. **Assignment:** Licensee may not assign or transfer any of its rights or obligations under this License, whether by operation of law or otherwise, without the prior written consent of Author. Any attempted assignment or transfer in violation of this section will be null and void. Author may assign this License without restriction.
