Scope and earlier licenses 1.1 This License governs the Fortress-specific patches, SDKs, MCP server and launcher, build tooling, packaging, documentation, and corresponding portions of binary distributions that Tilion Inc. makes available under this License (the "Licensed Software"). It also governs those portions in modified copies and derivative works. Exercising any right granted by this License constitutes acceptance of its conditions. Use of the Licensed Software for an organization is that organization's use under this License and binds it to these conditions; no separate acceptance step, signature, or approval is required for use that is free under Sections 2 and 3. 1.2 Chromium, bundled fonts, the separately distributed tilion framework, and other separately licensed materials are not relicensed by this document. Their own terms and notices continue to apply; see NOTICE. 1.3 Earlier Fortress material released under the BSD-3-Clause license remains available under that license. Those permissions are not withdrawn, including for copies, forks, or derivatives of that earlier material. The original BSD license and copyright notice are retained in LICENSE-BSD-LEGACY. That license does not grant BSD rights to material released only under this License. 1.4 This License is a source-available license, not an open-source license. It has no automatic conversion to another license and no scheduled expiry of its production-use conditions. It applies from the first distribution of a version of the Licensed Software carrying this License on 30 September 2026 (the "Effective Date"). A later version of this License does not amend the terms granted for a version of the Licensed Software distributed under an earlier version. 1.5 Every definition, rule, and Grace Period in this License forms part of this License. The Fortress Subscription Terms set only the price, billing, payment methods, order records, and coverage of a subscription; nothing in them narrows a permission granted here. 2. Free permissions 2.1 Subject to the conditions of this License, Tilion Inc. grants you a worldwide, non-exclusive, royalty-free copyright license to copy, inspect, modify, create derivative works of, and redistribute the Licensed Software in source or binary form, and to use it for any non-production purpose. 2.2 Non-production use is free regardless of funding, revenue, size, or whether the user is a commercial business. An Organization whose Cumulative Funding is US$500,000 or more, or whose Annual Recurring Revenue exceeds US$300,000, or both, may use the Licensed Software for non-production development, testing, evaluation, proofs of concept, demonstrations, education, and research without a subscription and without contacting Tilion Inc. These permissions extend to employees, contractors, and service providers performing those non-production activities on that Organization's behalf. 2.3 The Licensed Software requires a license key to run. A free key is issued to any person who signs in at https://tilion.dev/activate with an email address, GitHub account, or Google account. No payment or sales contact is required for permitted use. A key is verified on the user's machine and is not checked online. The Licensed Software contains no telemetry, usage reporting, heartbeat, or update poll, and makes no connection to any host Tilion Inc. controls other than (a) obtaining or refreshing a key when the user runs that command, and (b) downloading a release from the source the user configures. Activation transmits to Tilion Inc. the sign-in email address and provider and no information about use of the Licensed Software. A machine without a key runs only the public first-generation engine. 2.4 Production use is authorized only as provided in Section 3 or in a separate written agreement with Tilion Inc. 3. Production use 3.1 The Paid-License Trigger applies only to production use. It does not limit the non-production permissions in Section 2, whether or not an Organization meets either or both financial thresholds. 3.2 You may make production use of the Licensed Software if any of the following applies: (a) you are an individual using it solely for personal, non-commercial purposes and not on behalf of a business or other organization; (b) your Organization does not meet the Paid-License Trigger; (c) the use falls within a Grace Period under Section 4; (d) the use is covered by a current Fortress subscription under the Fortress Subscription Terms; or (e) the use is settled under Section 6 or falls within the Lapse Grace Period, in which case it is permitted from the day it began and no breach arises from it. 3.3 "Paid-License Trigger" means that your Organization's Cumulative Funding is US$500,000 or more, or its Annual Recurring Revenue exceeds US$300,000. Exactly US$500,000 in Cumulative Funding meets the Paid-License Trigger. Exactly US$300,000 in Annual Recurring Revenue does not exceed its threshold. 3.4 Subscription. An Organization that meets the Paid-License Trigger requires one Fortress subscription. A subscription covers production use by the whole Organization, with no limit on people, machines, containers, agents, or browsers. The list price is the same for every subscribing Organization and is published at https://tilion.com/pricing; a separate written agreement may provide a lower price. A subscription runs in terms of three months and renews automatically. Tilion Inc. may change the price or the Fortress Subscription Terms by publishing the change and sending it to the subscriber's billing contact at least 30 days before a renewal date; the change applies from that renewal date and not within a running term. A subscriber may cancel at any time by the self-serve method described in the Fortress Subscription Terms, with effect from the end of the current term and without fee. Duplicate subscriptions held by one Organization are refundable pro rata for any unexpired term. 3.5 Obtaining a subscription. Subscriptions are purchased self-serve at https://tilion.com/pricing on the Fortress Subscription Terms, accepted by click-through, without contact with Tilion Inc. Payment methods and order records are described in those Terms. A subscription key is issued at purchase; like a free key it is verified on the user's machine and is not checked online. Permission under Section 3.2(d) begins when the subscription takes effect or an Order is pending, not on installation of the key. Eligibility under this Section must be satisfied throughout production use, subject to the Grace Periods. 3.6 These conditions apply to every version of the Licensed Software distributed under this License, including where an existing user upgrades from an earlier BSD-licensed version. Production use of an earlier BSD-licensed version does not qualify you for free production use of material under this License beyond the Transition Grace Period. Your rights in earlier BSD-licensed material are unaffected. 3.7 Permission for production use that is not otherwise permitted begins when a subscription covering that use takes effect, subject to its payment and other terms, or when a Grace Period applies. Downloading a copy, or receiving a copy from a third party, does not itself grant that permission. A separate written agreement controls over this License for the use it covers, to the extent of any conflict. 4. Definitions and measurement 4.1 "Organization" means the business or other legal entity using the Licensed Software, together with every entity that controls it, that it controls, or that is under common control with it. "Control" means direct or indirect ownership of more than 50% of the voting interests or the power to direct management. Financial amounts are aggregated across the Organization, excluding transactions within the Organization. An investment fund and its other portfolio companies are not part of an Organization by reason of the fund's holding alone. A fiscal sponsor or foundation that holds funds for a project without the power to direct its management does not control it, and such a project is measured by the funds restricted to it. An individual conducting a business is an Organization consisting of that individual alone; production use by an individual that serves, or whose outputs are provided to, an entity the individual controls is that entity's use under Section 4.9. 4.2 "Cumulative Funding" means the total gross funding actually received by the Organization from outside the Organization since its formation, including equity investments, SAFEs, convertible instruments, debt financing, and business grants. It excludes revenue from sales of goods or services, ordinary trade credit, and funding committed but not received. Spending, repaying, or distributing funds does not reduce Cumulative Funding. Conversion of an instrument does not count the same funding twice. A revolving, receivables, or card facility counts at its highest principal outstanding at any time, not at cumulative draws. 4.3 "Annual Recurring Revenue" or "ARR" means twelve times the recurring revenue earned in the most recently completed calendar month from subscriptions and other ongoing customer arrangements, including recurring usage-based fees. Prepaid recurring fees are allocated evenly over the period they cover. One-time fees, taxes collected for others, and refunded amounts are excluded. Fees paid by the same customer for the same or a substantially similar product or service in the measurement month and in at least one of the two preceding calendar months are recurring, whatever the form of the arrangement or the name of the fee. Before the end of the Organization's first calendar month of operations, ARR is its contracted monthly recurring fees multiplied by twelve, with longer-period fees allocated to months. ARR is measured Organization-wide, not only for revenue attributable to Fortress. 4.4 All thresholds are in United States dollars. Non-USD funding is converted at the spot exchange rate on the date received; non-USD recurring revenue is converted at the spot exchange rate on the final day of the measurement month (or on the measurement date for first-month contracted fees). The rate source is the US Federal Reserve H.10 rate or the Organization's central bank reference rate, chosen once and applied consistently. Thresholds are measured on the first day of each calendar month and hold for that month. 4.5 "Production use" means executing or operating the Licensed Software in live business operations, including internal operational automation and providing operational products, services, or data to customers or other third parties. Copying, modifying, or redistributing the Licensed Software without operating it in production is not production use. An Organization whose product, service, or agent launches and drives the Licensed Software on a customer's or user's machine as a function of that product is operating it in production, in addition to any production use by that customer. The name or location of a deployment does not determine whether its use is production. 4.6 "Non-production use" means development, testing, evaluation, proofs of concept, demonstrations, education, and research that do not serve live business operations or deliver operational products, services, or data. Non-production use is free for every Organization regardless of funding or ARR, without registration, contact, or payment. These examples do not limit the permission for non-production use in Section 2. 4.7 "Fortress Subscription Terms" means the terms accepted at purchase or renewal of a Fortress subscription, as published at https://tilion.com/terms on the day of that purchase or renewal. 4.8 "Order" means a purchase created through the checkout page, the API, or the command-line tool that names the legal entity and a billing contact. An Order is pending from creation until it is paid, cancelled, or 60 days old, whichever comes first. 4.9 On-behalf-of rule. Where you make production use of the Licensed Software on behalf of another Organization, including as an employee, contractor, consultant, agency, outsourcer, or service provider, that Organization must also satisfy Section 3 or be covered by a subscription for that production use. A customer's receipt of your generally available product or service alone does not make your use "on behalf of" that customer; operating a dedicated deployment or performing contracted automation for that customer does. (a) A product or service is generally available only where it is offered to the public on published terms. Use of a generally available product or service is the seller's use alone, even where each customer supplies its own inputs, such as targets, search terms, or credentials, and receives its own results; those customers are not clients under this Section. (b) A deployment is dedicated to a customer only where that customer, rather than your generally available product, specifies its automation targets, workflows, or code. Per-customer isolation, configuration, or hosting of a generally available product is not a dedicated deployment. (c) A customer that, alone or with its Organization, supplied more than half of your revenue from a product or service in the measurement month, or that formed or funds you, is a client under this Section and its use is contracted automation. (d) "Client" means the Organization whose live business operations a dedicated deployment or contracted automation ultimately serves, through any chain of contracts. "Provider" means every Organization between the client and the Organization executing the Licensed Software. Such use must be permitted as both the provider's use and the client's use: each of them that meets the Paid-License Trigger requires its own subscription, and a subscription in the client's name may be purchased by either party. (e) A client that does not itself execute the Licensed Software is not in breach for a provider's use of which it had no knowledge. Its obligation for that use begins on the earlier of its actual knowledge and Tilion Inc.'s written notice to it, and it may cure by obtaining a subscription within 30 days of that date. 4.10 Grace Periods. Production use during a Grace Period is permitted under Section 3.2(c). The Grace Periods are: (a) Evaluation: an Organization may make production use for 15 days from its first production use of any version of the Licensed Software distributed under this License, measured once for the whole Organization and not restarted by a later version, release, or rebuild. For use under Section 4.9 the period is the provider's, runs once from the provider's first production use for any client, and covers a client only while the client's own period is also running. (b) Crossing: each time an Organization first meets the Paid-License Trigger, not having met it on the first day of the preceding month, it may continue production use for 15 days from the end of the month in which the Paid-License Trigger was met, provided that at least twelve months have passed since the end of its last Crossing period. A crossing before the Organization's first production use does not count. (c) Lapse: a subscription that ends for non-payment or a missed renewal remains current for 30 days after the end of its term. Production use in that period is licensed and, if the subscription is not restored, is billed at the monthly list price without uplift. (d) Transition: an Organization making production use of an earlier BSD-licensed version on the Effective Date has 15 days from the Effective Date. 4.11 A Grace Period extends while an Order covering the use is pending, if the Order was created before the period would otherwise end. An Order extends a Grace Period once per Organization; later Orders for the same Organization do not extend it, and no extension runs past 60 days after the first Order's creation. Each Grace Period arises once per Organization, except Crossing as provided in Section 4.10(b). Where more than one Grace Period applies to the same use they run concurrently and the use is permitted until the latest of their end dates; no Grace Period is added to the end of another. 5. Redistribution and notices 5.1 When redistributing any Licensed Software, including in modified or binary form, you must include a complete copy of this License, retain applicable copyright, attribution, and third-party notices, and clearly identify your modifications. For binaries, include these documents in the distribution or its accompanying materials where recipients can find them. 5.2 Recipients receive permission to the Licensed Software directly under this License and must independently satisfy its conditions for their use. You may not grant recipients broader rights to Tilion Inc.'s Licensed Software than this License permits. Modifying, wrapping, or redistributing the Licensed Software does not remove these conditions from the Licensed Software it contains. This Section does not restrict separate rights in independently created or separately licensed material. Production use of a rebuild or derivative is measured by the same tests as production use of Tilion Inc.'s own distribution. 6. Reserved rights, settlement, and termination 6.1 All rights not expressly granted are reserved. This License grants no rights in Tilion Inc.'s trademarks and implies no endorsement. Accurate attribution and the notices required by this License are permitted. 6.2 Production use outside Section 3 is unauthorized from the outset, whether or not Tilion Inc. gives notice. Tilion Inc. makes a standing offer to settle such use at the monthly list price in force in each month of unauthorized production use, plus 25%, counting only months after the last applicable Grace Period ended and not covered by a subscription, and limited to the 24 months before Tilion Inc.'s first written notice unless the Organization made a knowingly false statement to Tilion Inc. about its eligibility. The offer may be accepted within 30 days of that notice. Creating an Order for the settlement within that period constitutes acceptance while the Order is pending. Use so settled is permitted under Section 3.2(e). Otherwise Tilion Inc.'s remedies under copyright law are unaffected. 6.3 If you materially breach this License, Tilion Inc. may give written notice describing the breach. If the breach is not cured, or the use is not settled under Section 6.2, within 30 days of that notice, Tilion Inc. may terminate your rights under this License by further written notice. No cure period is owed for a knowingly false statement to Tilion Inc. A lapse that is ended by restoring the subscription, by paying the Lapse Grace Period charge, or by settlement under Section 6.2 is not a material breach. 6.4 On termination, you must stop exercising the terminated rights unless Tilion Inc. reinstates them in writing. Termination does not affect independently held BSD or third-party rights, the rights of recipients who comply with this License, or any obligation or claim arising before termination. Sections 5, 6.1, 6.4, 7, and 8 survive termination. 7. Warranty and liability 7.1 TO THE EXTENT PERMITTED BY APPLICABLE LAW, THE LICENSED SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE". TILION INC. AND CONTRIBUTORS GIVE NO EXPRESS OR IMPLIED WARRANTY, INCLUDING ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT, AND DO NOT WARRANT THAT THE LICENSED SOFTWARE WILL BE ERROR-FREE OR AVAILABLE WITHOUT INTERRUPTION. 7.2 TO THE EXTENT PERMITTED BY APPLICABLE LAW, TILION INC. AND CONTRIBUTORS ARE NOT LIABLE FOR ANY LOSS OR DAMAGE ARISING FROM THIS LICENSE OR THE LICENSED SOFTWARE, INCLUDING LOST PROFITS, LOST DATA, BUSINESS INTERRUPTION, AND DIRECT, INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, REGARDLESS OF THE LEGAL THEORY AND WHETHER OR NOT ADVISED OF THE POSSIBILITY. THIS SECTION DOES NOT EXCLUDE LIABILITY THAT APPLICABLE LAW DOES NOT PERMIT TO BE EXCLUDED, AND DOES NOT ALTER AN EXPRESS COMMITMENT IN A SEPARATE WRITTEN AGREEMENT. 8. General 8.1 If any provision of this License is held unenforceable, it is to be enforced to the maximum extent permitted and the remaining provisions remain in effect. 8.2 Headings are for convenience and do not affect interpretation. The words "including" and "such as" introduce examples and do not limit the sense of the words preceding them. 8.3 A failure by Tilion Inc. to enforce a provision is not a waiver of that provision or of any later breach. 8.4 This License may be distributed in translation for convenience.
