Licensed under V-Nova's proprietary licence. -------------------------------------------------- License: -------------------------------------------------- V-Nova Limited ("V-Nova") hereby grants a temporary, non-exclusive, non-transferable (without the right to sublicense), limited licence, for a period of 6 months, only, to anyone obtaining a copy of (the “Licensee”) the V-Nova decoder and the associated documentation (“Software”), in object code form only, solely for purpose of internal integration, testing and demonstration of the Software to assess whether the Software is suitable for commercial deployment (provided always that commercial deployment shall be permitted only if the Licensee has entered into a separate written licence agreement with V-Nova in respect of such deployment). TO THE EXTENT ALLOWED BY APPLICABLE LAW, THE SOFTWARE IS PROVIDED "AS IS" WITHOUT ANY WARRANTY OR CONDITION OF ANY KIND,INCLUDING WITHOUT LIMITATION, ANY WARRANTY OF NON-INFRINGEMENT OF INTELLECTUAL PROPERTY RIGHTS. V-NOVA HEREBY EXCLUDES AND DISCLAIMS ALL WARRANTIES, CONDITIONS, OR OTHER TERMS, AND ALL REPRESENTATIONS OR OTHER STATEMENTS, WHETHER ORAL OR IN WRITING, EXPRESS OR IMPLIED, TO THE MAXIMUM EXTENT PERMITTED BY LAW. IN NO EVENT SHALL V-NOVA BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES (INCLUDING, BUT NOT LIMITED TO, PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES; LOSS OF USE, DATA, OR PROFITS; OR BUSINESS INTERRUPTION) HOWSOEVER CAUSED AND ON ANY THEORY OF LIABILITY, WHETHER IN CONTRACT, STRICT LIABILITY, OR TORT (INCLUDING NEGLIGENCE OR OTHERWISE) ARISING IN ANY WAY OUT OF THE USE OF THIS SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGE. The Licensee acknowledges and agrees that it shall have no right to, shall not, and shall not suffer any person to: (a) sublicense, assign, convey, transfer, share, distribute, propagate, the Software; (b) merge, modify, enhance, adapt, translate, make improvements to, create derivative works based upon, the Software; (c) disassemble, decompile, reverse engineer, reduce to any human or machine perceivable form, or circumvent any technological measure that controls access to or permits derivation of the source code of the Software to the extent permitted by applicable mandatory law; (d) change, distort, obscure, delete or remove any patent, trade mark, copyright or other proprietary notices which appear in writing on or in the Software; (e) impose any condition or obligation on V-Nova under copyleft terms (including, without limitation, any obligation to disclose, publish and/or license any code in the Software); (f) operate or make use of a Deliverable that in any way violates applicable laws and regulations; and/or (g) take or permit any other action which could impair or encumber V-Nova’s ownership of or Intellectual Property Rights in the Software.
