# Terms of Use (EULA) Last updated: February 2026 These Terms of Use ("Terms") govern your access to and use of **Memori: Now and Once** ("Memori", the "App"). By downloading, installing, or using the App, you agree to these Terms. If you do not agree, do not use the App. --- ## 1. Who We Are Memori is a personal note-taking and language learning app. The App may offer optional AI-assisted features. Contact: **memori.app.tester@gmail.com** --- ## 2. License and Acceptable Use Memori is licensed, not sold, to you for personal, non-commercial use, subject to these Terms and applicable laws. You agree not to: - misuse the App, attempt to disrupt its operation, or access it using automated tools in a way that harms the service; - reverse engineer, decompile, or attempt to extract source code except where allowed by law; - use the App to violate any law, or to create, upload, or share unlawful, harmful, or infringing content. --- ## 3. User Content You may create and store content in the App (such as notes, text, tags, and attachments) ("User Content"). You retain ownership of your User Content. You are responsible for: - ensuring you have rights to any content you upload or store; - backing up important content; and - complying with all applicable laws. --- ## 4. AI Features and Limitations The App may provide AI-assisted features (for example, generating explanations or pronunciation support). AI output may be inaccurate, incomplete, or inappropriate. You are responsible for verifying AI results before relying on them. You agree not to use AI features to generate or request illegal content or content that violates these Terms. --- ## 5. Subscriptions and Payments (Auto-Renewable) Memori may offer optional **auto-renewable subscriptions** to unlock premium features (for example, AI-assisted features). Prices, subscription lengths, and available plans are shown in the App and on the App Store at the time of purchase. ### 5.1 Billing and Renewal - Payment will be charged to your Apple ID account at confirmation of purchase. - Subscriptions **automatically renew** unless auto-renew is turned off at least 24 hours before the end of the current period. - Your account will be charged for renewal within 24 hours prior to the end of the current period, at the price shown for the selected plan. ### 5.2 Manage or Cancel You can manage or cancel your subscription anytime in your Apple account settings: - Open **Settings** on your device - Tap your **Apple ID** - Tap **Subscriptions** - Select Memori and follow the instructions Apple may also provide a direct subscriptions page depending on region/device. ### 5.3 Free Trials (If Offered) If a free trial is offered, and you purchase a subscription before the trial ends, any unused portion of the free trial may be forfeited, as allowed by Apple’s policies. ### 5.4 Refunds Refund requests are handled by Apple, not Memori. Please refer to Apple’s refund process and eligibility rules. --- ## 6. Third-Party Services To provide functionality, the App may use third-party services such as: - **Firebase** (data storage, cloud sync, backend services) - **RevenueCat** (subscription status and entitlement management) - **Google Cloud AI services** (AI-generated explanations and/or pronunciation assistance, where applicable) Your use of the App may be subject to the terms and policies of these providers. --- ## 7. Availability and Changes to the App We may modify, suspend, or discontinue parts of the App at any time, including features, content, and availability. We are not liable for any change, suspension, or discontinuation to the extent permitted by law. --- ## 9. Disclaimers The App is provided **"as is"** and **"as available"**. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including fitness for a particular purpose, merchantability, and non-infringement. AI outputs are provided for informational purposes only and are not professional advice. --- ## 10. Limitation of Liability To the maximum extent permitted by law, Memori will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, profits, or goodwill, arising out of or related to your use of the App. Where liability cannot be excluded, it is limited to the minimum extent permitted by law. --- ## 11. Changes to These Terms We may update these Terms from time to time. If we make material changes, we may provide notice within the App or by updating the "Last updated" date above. Continued use of the App after changes means you accept the updated Terms. --- ## 12. Apple EULA Note If you choose to use Apple's standard Licensed Application End User License Agreement (Apple Standard EULA) in App Store Connect, that agreement may also apply.
