# Contributor License Agreement > **Maintainer note — this needs your review before it is relied upon.** > This document is adapted from the [Apache Software Foundation Individual > Contributor License Agreement v2.0](https://www.apache.org/licenses/icla.pdf), > the standard instrument for Apache-2.0 projects. It has **not** been reviewed > by a lawyer on this project's behalf. Two placeholders must be filled in > before it is authoritative — the legal entity named as **the Project Owner**, > and the contact address in "Notifying us". If XERJ is ever to be relicensed or > offered commercially, have counsel confirm this text grants what you need. Thank you for contributing to XERJ. This agreement clarifies the intellectual property licence granted with Contributions from any person or entity, and protects both you and the project. It does **not** change your rights to use your own Contributions for any other purpose. You keep the copyright in everything you contribute. This agreement gives the Project Owner permission to use and redistribute it; it is not an assignment. ## 1. Definitions **"You"** means the copyright owner, or the legal entity authorised by the copyright owner, entering into this agreement. **"Contribution"** means any original work of authorship, including any modification of or addition to an existing work, that is intentionally submitted by You to the Project Owner for inclusion in, or documentation of, any of the products owned or managed by the Project Owner. **"Submitted"** means any form of electronic, verbal, or written communication sent to the Project Owner or its representatives, including but not limited to communication on electronic mailing lists, source code control systems, and issue tracking systems that are managed by, or on behalf of, the Project Owner for the purpose of discussing and improving the Work — but excluding communication that is conspicuously marked, or otherwise designated in writing by You, as "Not a Contribution". ## 2. Grant of Copyright Licence Subject to the terms and conditions of this agreement, You grant to the Project Owner and to recipients of software distributed by the Project Owner a perpetual, worldwide, non-exclusive, no-charge, royalty-free, irrevocable copyright licence to reproduce, prepare derivative works of, publicly display, publicly perform, sublicense, and distribute Your Contributions and such derivative works. ## 3. Grant of Patent Licence Subject to the terms and conditions of this agreement, You grant to the Project Owner and to recipients of software distributed by the Project Owner a perpetual, worldwide, non-exclusive, no-charge, royalty-free, irrevocable (except as stated in this section) patent licence to make, have made, use, offer to sell, sell, import, and otherwise transfer the Work. This licence applies only to those patent claims licensable by You that are necessarily infringed by Your Contribution alone, or by combination of Your Contribution with the Work to which it was Submitted. If any entity institutes patent litigation against You or any other entity alleging that Your Contribution, or the Work to which You have contributed, constitutes direct or contributory patent infringement, then any patent licences granted to that entity under this agreement for that Contribution or Work terminate as of the date such litigation is filed. ## 4. Your representations You represent that: 1. You are legally entitled to grant the above licences. 2. If your employer has rights to intellectual property that you create, you have received permission to make the Contribution on behalf of that employer, or your employer has waived such rights, or your employer has executed a separate corporate CLA with the Project Owner. 3. Each of Your Contributions is Your original creation. You may submit work that is not your original creation, provided you identify it clearly — see section 6. 4. You are not expected to provide support for Your Contributions, except to the extent You desire to. Unless required by applicable law or agreed to in writing, You provide Your Contributions on an **"AS IS" BASIS, WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND**, either express or implied, including, without limitation, any warranties or conditions of TITLE, NON-INFRINGEMENT, MERCHANTABILITY, or FITNESS FOR A PARTICULAR PURPOSE. ## 5. Generative AI You may use AI assistance to prepare a Contribution. If you do, you remain responsible for the representations in section 4 — in particular that you are entitled to grant the licences above for the entire Contribution, including any material an assistant reproduced from elsewhere. If you cannot make that representation for some part, identify it under section 6. ## 6. Third-party work Should You wish to submit work that is not Your original creation, You may submit it separately from any Contribution, identifying the complete details of its source and of any licence or other restriction of which you are personally aware, and conspicuously marking the work as `Submitted on behalf of a third-party: [named here]`. ## 7. Notifying us You agree to notify the Project Owner of any facts or circumstances of which you become aware that would make these representations inaccurate in any respect. Contact: **[MAINTAINER CONTACT — fill in]**. --- ## How to sign Signing is a one-time act per contributor, not per pull request. 1. Read this document. 2. Open a pull request adding your GitHub username to [`.contributors`](./.contributors). That pull request **is** your signature: it is made from your own GitHub account, and its commit history is the durable record of your agreement. Please add nothing to it but your username. 3. Once it is merged, comment `@cla-bot check` on your original pull request and the CLA check will go green. If you contribute on behalf of an employer that requires a corporate agreement, say so on your pull request before signing individually.
